Sale of a Member’s Interest. 13.1 No Managing Member shall have the power to confer upon a non-Member the attributes of the Managing Member’s interests in the Company without the unanimous consent of the non-transferring Members.

Sale of a Member’s Interest. 9.1 A Member may sell all or any portion of his interest to another Member at any time. The price of the interest to be sold will be as agreed upon by the Members but shall consider the Appraisal value, obtained by an Appraisal acceptable to both Members, of any real property in possession of the Company at the time of sale as well as the book value of all other assets and liabilities of the Company.
