Sales and Marketing Fee; Net Sales Remittances. 3.8.1 With respect to the period from the Agreement Date through the end of the first Contract Year, Senetek shall pay a sales and marketing fee to Licensee (the "Marketing Fee") of four million five hundred thousand dollars ($4,500,000) in four equal installments. The first installment of the Marketing Fee of [***] ($[***]) shall be payable on the Agreement Date and the three successive installments of the Marketing Fee shall be payable on the first day of the first, second and third Contract Quarters of the first Contract Year. 3.8.2 In consideration of the Marketing Fee and the rights granted Licensee pursuant to this Agreement, with respect to the period from the Agreement Date through the end of the First Contract Year all proceeds of Licensee's and its Affiliates' Net Sales of Products shall be for Senetek's account until such time that the proceeds of Licensee's and its Affiliates' Net Sales of Products reach $10,800,000. When the proceeds of Licensee's and its Affiliates' Net Sales of Products during the First Contract Year reach $10,800,000, Senetek and Licensee shall meet and negotiate in good faith a revised revenue sharing arrangement for the remainder of the First Contract Year. In each subsequent Contract Year, fifty percent (50%) of the proceeds of Licensee's and its Affiliates' Net Sales of Products shall be for Senetek's account with the other fifty percent (50%) of the proceeds of Licensee's and its Affiliates' Net Sales of Products being for Licensee's account. All proceeds of Net Sales of Products remittable to Senetek shall be held in a segregated lock box or similar account, not available to creditors or investors of Licensee and for the exclusive benefit of Senetek, pending distribution to Senetek as herein provided. Within thirty (30) days after the end of each of the first eleven (11) calendar months of each Contract Year, Licensee shall deliver to Senetek a remittance report in the form annexed as Schedule 3.8.2 setting forth the gross receipts from Licensee's and its Affiliates' sales of Products during the preceding calendar month, the amounts deducted therefrom in determining Net Sales, documentation supporting such deductions (including any bad debt write-offs), and Licensee's and its Affiliates' month-end inventory of Products, and shall remit to Senetek by wire transfer to such account as Senetek may designate from time to time the full amount of the proceeds of Licensee's and its Affiliates' Net Sales set forth in such repo...

(ii) Licensee agrees that it will not administer the TAF Quad to humans, or sell the TAF Quad until Gilead has obtained marketing approval for the TAF Quad from the FDA. Licensee agrees that it will not administer EVG to humans, or sell Products containing EVG until Gilead has obtained marketing approval for an EVG Product from the FDA. Licensee agrees that it will not administer COBI to humans, or sell Products containing COBI until Gilead has obtained marketing approval for a COBI Product from the FDA. Licensee agrees that it will not administer TAF to humans, or sell Products containing TAF until Gilead has obtained marketing approval for a TAF Product from the FDA. If Gilead obtains marketing approval from the FDA for any Quad Product or a Combination Product containing TAF, COBI or EVG (“Approved Combination Product”) prior to obtaining marketing approval for a TAF Product, EVG Product or COBI Product from the FDA, then Licensee will be allowed to administer such Quad Product or such Approved Combination Product to humans, and sell such Quad Product or such Approved Combination Product from and after the date of such marketing approval from the FDA, but will not (A) administer to humans or sell Combination Products containing EVG other than such Quad Product or such Approved Combination Product until Gilead has obtained marketing approval from the FDA for an EVG Product, or (B) administer to humans or sell Combination Products containing COBI other than such Quad Product or such Approved Combination Product until Gilead has obtained marketing approval from the FDA for a COBI Product or (C) administer to humans or sell Combination Products containing TAF other than such Quad Product or such Approved Combination Product until Gilead has obtained marketing approval from the FDA for a TAF Product.

  • Manufacturing and Marketing Rights The Company has not granted rights to manufacture, produce, assemble, license, market, or sell its products to any other person and is not bound by any agreement that affects the Company's exclusive right to develop, manufacture, assemble, distribute, market, or sell its products.

  • REPORT ON CONTRACT SALES ACTIVITY AND ADMINISTRATIVE FEE PAYMENT A. CONTRACT SALES ACTIVITY REPORT. Each calendar quarter, Supplier must provide a contract sales activity report (Report) to the Sourcewell Supplier Development Administrator assigned to this Contract. Reports are due no later than 45 days after the end of each calendar quarter. A Report must be provided regardless of the number or amount of sales during that quarter (i.e., if there are no sales, Supplier must submit a report indicating no sales were made). The Report must contain the following fields: • Participating Entity Name (e.g., City of Staples Highway Department); • Participating Entity Physical Street Address; • Participating Entity City; • Participating Entity State/Province; • Participating Entity Zip/Postal Code; • Participating Entity Contact Name; • Participating Entity Contact Email Address; • Participating Entity Contact Telephone Number; • Sourcewell Assigned Entity/Participating Entity Number; • Item Purchased Description; • Item Purchased Price; • Sourcewell Administrative Fee Applied; and • Date Purchase was invoiced/sale was recognized as revenue by Supplier. B. ADMINISTRATIVE FEE. In consideration for the support and services provided by Sourcewell, the Supplier will pay an administrative fee to Sourcewell on all Equipment, Products, and Services provided to Participating Entities. The Administrative Fee must be included in, and not added to, the pricing. Supplier may not charge Participating Entities more than the contracted price to offset the Administrative Fee. The Supplier will submit payment to Sourcewell for the percentage of administrative fee stated in the Proposal multiplied by the total sales of all Equipment, Products, and Services purchased by Participating Entities under this Contract during each calendar quarter. Payments should note the Supplier’s name and Sourcewell-assigned contract number in the memo; and must be mailed to the address above “Attn: Accounts Receivable” or remitted electronically to Sourcewell’s banking institution per Sourcewell’s Finance department instructions. Payments must be received no later than 45 calendar days after the end of each calendar quarter. Supplier agrees to cooperate with Sourcewell in auditing transactions under this Contract to ensure that the administrative fee is paid on all items purchased under this Contract. In the event the Supplier is delinquent in any undisputed administrative fees, Sourcewell reserves the right to cancel this Contract and reject any proposal submitted by the Supplier in any subsequent solicitation. In the event this Contract is cancelled by either party prior to the Contract’s expiration date, the administrative fee payment will be due no more than 30 days from the cancellation date.

  • Marketing Services The Manager shall provide advice and assistance in the marketing of the Vessels, including the identification of potential customers, identification of Vessels available for charter opportunities and preparation of bids.

  • Contract Quarterly Sales Reports The Contractor shall submit complete Quarterly Sales Reports to the Department’s Contract Manager within 30 calendar days after the close of each State fiscal quarter (the State’s fiscal quarters close on September 30, December 31, March 31, and June 30). Reports must be submitted in MS Excel using the DMS Quarterly Sales Report Format, which can be accessed at xxxxx://xxx.xxx.xxxxxxxxx.xxx/business_operations/ state_purchasing/vendor_resources/quarterly_sales_report_format. Initiation and submission of the most recent version of the Quarterly Sales Report posted on the DMS website is the responsibility of the Contractor without prompting or notification from the Department’s Contract Manager. If no orders are received during the quarter, the Contractor must email the DMS Contract Manager confirming there was no activity.

  • CONTRACT SALES REPORTING Contractor shall report total contract sales quarterly to Enterprise Services, as set forth below.
