Sales and Marketing materials. All sales and/or marketing materials shall include a notice stating that the Insurance Product is underwritten by the Insurer and the End User shall be entering into a direct contractual relationship with the Insurer should they decide to purchase the Insurance Product.
a) Prior to any sales and/or marketing materials promoting or describing the Insurance Product being printed they shall be approved by the Insurer.
b) The Insurance Product is only available for Dell-branded Hardware which have a valid, tied, Dell Hardware Support Service in place.
Sales and Marketing materials. Each Party shall provide the other Party/Parties (i.e., RMS on the one hand and the Pharmaceutical Partners on the other) with that portion of its sales and marketing materials (including any internet information pages), which contain references to the other Party’s product or the other Party’s Trademarks (i.e., in the case of Pharmaceutical Partners, the RMS Product and/or RMS’ Trademark for the RMS Product and, in the case of RMS, the Pharmaceutical Partners Product and/or Pharmaceutical Partners’ Trademark for the Pharmaceutical Partners Product), at least [**] business days prior to the printing of such materials for distribution to the public; provided that, once a particular reference, specific use and detailed wording and look of the other Party’s Trademarks has been reviewed and approved in accordance with this Section 6.5, it may be used in subsequent materials without being submitted for further review. In the event that the other Party has a reasonable objection to the content of such sales and marketing materials (such as inaccurate labeling, misuse of Trademarks, other factual content, and the like), the marketing Party shall submit the materials to the JSC, which will review and decide the dispute within [**] days, during which time the materials shall not be disseminated to the public. In the event that the JSC does not resolve the dispute within [**] days, such dispute shall be decided in accordance with the dispute resolution procedures of this Agreement.

Sales and Marketing materials. Access for the Reseller and End Users to all public features and designs of the product, fully branded with the Reseller's brand and available under Reseller's domain.
Sales and Marketing materials. (a) Invesco shall bear the costs of preparing all sales literature or other promotional marketing material relating to each Portfolio (collectively, "Fund Sales Materials").
(b) Subject to Section 2 hereof, Insurer, Financial Intermediary or their affiliates shall initially bear the costs of printing in quantity all Fund Sales Materials, and preparing and printing in quantity all sales literature or other promotional marketing material relating to the Contracts (collectively, "Insurance Sales Materials").
(c) Subject to Section 2 hereof, Insurer, Financial Intermediary or their affiliates shall initially bear the costs of mailing all Fund Sales Materials and Insurance Sales Materials to prospective Contract owners.
Sales and Marketing materials. Carbylan shall use its reasonable commercial efforts to provide Jingfeng, [*], with any additional assistance reasonably requested by Jingfeng, from time to time, in producing technical, sales, advertising and other marketing reports and information for Jingfeng which Jingfeng reasonably believes might be useful in marketing and selling the Licensed Products.
Sales and Marketing materials. Client, at its own expense, shall produce and distribute all advertising, sales, marketing and enrollment materials (including, but not limited to, Member brochures, applications and when required by the Program, identification cards) for promotion of the Program. Client will submit identification card templates and all related material templates for written approval by Paramount Rx, any cards or materials that are produced using the approved templates will not need further approval by Paramount Rx. Client further agrees that without Paramount Rx’s prior written approval which will not be unreasonable with held all such materials shall state the Program is not insurance. Client shall not, directly or indirectly, advertise, market or sell the Program as any form of insurance or “funded health benefit”, except to the extent the Program is implemented in connection with Flexible Spending Arrangements, Health Savings Accounts, Health Reimbursement Arrangements or other funded or insured health benefits. As the Client is using its own BIN for processing no names or logos of Paramount Rx will be required to be added to the cards or marketing materials, unless required by state or industry regulations.

Sales and Marketing materials. The Company shall provide the Marketing Executive, at no cost, with sales and marketing materials relating to the Products.

Commencing the first full calendar week after the Effective Date, the Borrowers shall furnish, or cause to be furnished to the Administrative Agent (and the Administrative Agent’s Professionals) in full detail, who may provide summary (on a no-name’s basis) to the Lenders, on or before Wednesday of each week, a written summary of the Borrowers’ ongoing sale processes of the Loan Parties’ assets, including but not limited to, parties contacted, Confidential Information Memorandum, Non Disclosure Agreements requested, Non Disclosure Agreements executed, and parties who have indicated that they are not interested in the Loan Parties’ assets, all other distributed offering memoranda and other marketing materials to prospective purchasers (and such materials shall be in form and substance reasonably satisfactory to the Administrative Agent).
