Schedule of Definitions. The terms used in this Agreement with their initial letters capitalized shall have, unless the context otherwise requires or unless otherwise expressly provided in this Agreement, the meanings specified in this Schedule I. Any term used but not defined in this Agreement shall have the meanings set forth in the Act. The singular shall include the plural, and the masculine gender shall include the feminine and neuter, and vice versa, as the context requires. When used in this Agreement, the following terms shall have the meanings set forth below:

Schedule of Definitions. 3G Data Threshold" means an amount equal to five times the average monthly usage of 3G data per Customer using the Sprint PCS Network, excluding any customer of a Manager Prepaid Plan. As of the Effective Date, the average monthly usage of 3G data for such a Customer using the Sprint PCS Network is one Gigabyte per month. The average monthly data usage of 3G data for such a Customer using the Sprint PCS Network will be recalculated on January 1st of every year for the preceding calendar year and that amount will be used in determining the 3G Data Threshold for that calendar year. For example, if the average monthly data usage of 3G data for such a Customer using the Sprint PCS Network in calendar year 2009 was 1.2 Gigabytes per month, the 3G Data Threshold for calendar year 2010 will be equal to five times that amount, or 6 Gigabytes per month (1.2 multiplied by 5).

(ii) Term shall mean from the Effective Date of this Agreement until cessation of the Company by whatever means, excluding however, any transaction (e.g. merger, acquisition, change of control or restructuring of the Company, whereby the Company’s business or revenue generating activities is assumed and continues under control of a different person or entity, and in such case, this Agreement shall be effective and binding against such person(s) or entity(s) (“Third Parties”), which Company shall disclose this Agreement and the Third Parties shall have assumed the obligations of the Company set forth in this Agreement.
