Scope of Supplement. The provisions of this Supplement shall apply only to (a) the % Global Bonds due (the “New Global Bonds”) to be issued by the Issuer on or about , 2018, (b) any Securities issued in the future under the Fiscal Agency Agreement, as amended by this Supplement, that form a single series with the New Global Bonds, and (c) any other Securities issued in the future under the Fiscal Agency Agreement, as amended by this Supplement, that are in their terms stated to be subject to this Supplement, and shall not modify or otherwise affect the terms and conditions of any currently outstanding Securities under the Fiscal Agency Agreement or any other Securities issued in the future under the Fiscal Agency Agreement that are not so stated as being subject to this Supplement.

Scope of Supplement. The terms and conditions of this Supplement apply to Music Videos produced by the Company, or by any production company producing a Music Video on behalf of the Company, in the United States, its territories and possessions. For the purposes of this Supplement, a Music Video produced by a signatory to the Code also means any Music Video produced by an entity at the direction of a signatory, utilizing as its underlying audio track a sound recording produced by the signatory, consistent with current industry practice. Any performer who is asked to sign a release in connection with his/her performance will be notified of this request at the time he/she is notified of the audition (or, if there is no audition, at the time of booking). Nothing contained in the release shall modify or be inconsistent with the terms of this Supplement. To the extent that there is a conflict between a release and this Supplement, this Supplement shall prevail.
Scope of Supplement. 2.1 This Supplement, together with the Agreement, contains the terms and conditions which govern Brocade's development of the Caterpillar Product for Sequent. 2.2 The Caterpillar Product shall be developed in accordance with the Caterpillar Product description and specification as provided in Attachment A. 2.3 The parties acknowledge that this Supplement may be executed prior to complete qualification of the Caterpillar Product by Sequent. Qualification of the Caterpillar Product by Sequent and the Caterpillar Product meeting all specifications as required in Attachment A are conditions precedent to Sequent's obligations under this Supplement or under the Agreement. 2.4 Upon completion of the Caterpillar Development Project and Brocade making the Production Caterpillar Product available to Sequent, the parties shall add the Caterpillar Product to the Agreement. Any purchases of the Production Caterpillar Product by Sequent will be governed by the Agreement as amended by this Supplement.
Scope of Supplement. 1.1 The Agreement will be deemed supplemented to the extent herein provided and will, except as specifically amended, continue in full force and effect in accordance with its original terms. In case of any discrepancy between the provisions of this Supplement and the Agreement, the provisions of this Supplement shall prevail. Any definitions used in this Supplement shall, unless otherwise is stated herein, have the respective meanings set forth in the Agreement.

  • Amendments to Servicing Agreements, Modification of Standard Provisions (a) Subject to the prior written consent of the Trustee pursuant to Section 3.07(b), the Master Servicer from time to time may, to the extent permitted by the applicable Servicing Agreement, make such modifications and amendments to such Servicing Agreement as the Master Servicer deems necessary or appropriate to confirm or carry out more fully the intent and purpose of such Servicing Agreement and the duties, responsibilities and obligations to be performed by the Servicer thereunder. Such modifications may only be made if they are consistent with the REMIC Provisions, as evidenced by an Opinion of Counsel. Prior to the issuance of any modification or amendment, the Master Servicer shall deliver to the Trustee such Opinion of Counsel and an Officer's Certificate setting forth (i) the provision that is to be modified or amended, (ii) the modification or amendment that the Master Servicer desires to issue and (iii) the reason or reasons for such proposed amendment or modification. (b) The Trustee shall consent to any amendment or supplement to a Servicing Agreement proposed by the Master Servicer pursuant to Section 3.07(a), which consent and amendment shall not require the consent of any Certificateholder if it is (i) for the purpose of curing any mistake or ambiguity or to further effect or protect the rights of the Certificateholders or (ii) for any other purpose, provided such amendment or supplement for such other purpose cannot reasonably be expected to adversely affect Certificateholders. The lack of reasonable expectation of an adverse effect on Certificateholders may be established through the delivery to the Trustee of (i) an Opinion of Counsel to such effect or (ii) written notification from each Rating Agency to the effect that such amendment or supplement will not result in reduction of the current rating assigned by that Rating Agency to the Certificates. Notwithstanding the two immediately preceding sentences, the Trustee may, in its discretion, decline to enter into or consent to any such supplement or amendment if its own rights, duties or immunities shall be adversely affected. (i) Notwithstanding anything to the contrary in this Section 3.07, the Master Servicer from time to time may, without the consent of any Certificateholder or the Trustee, enter into an amendment (A) to an Other Servicing Agreement for the purpose of (i) eliminating or reducing Month End Interest and (ii) providing for the remittance of Full Unscheduled Principal Receipts by the applicable Servicer to the Master Servicer not later than the 24th day of each month (or if such day is not a Business Day, on the previous Business Day) or (B) to the WFHM Servicing Agreement for the purpose of changing the applicable Remittance Date to the 18th day of each month (or if such day is not a Business Day, on the previous Business Day). (ii) The Master Servicer may direct WFHM to enter into an amendment to the WFHM Servicing Agreement for the purposes described in Sections 3.07(c)(i)(B) and 10.01(b)(iii).

Notice of any amendment to the Deposit Agreement or any ADR shall not need to describe in detail the specific amendments effectuated thereby, and failure to describe the specific amendments in any such notice shall not render such notice invalid, provided, however, that, in each such case, the notice given to the Holders identifies a means for Holders and Beneficial Owners to retrieve or receive the text of such amendment (e.g., upon retrieval from the Commission’s, the Depositary’s or the Company’s website or upon request from the Depositary). The parties hereto agree that any amendments or supplements which (i) are reasonably necessary (as agreed by the Company and the Depositary) in order for (a) the ADSs to be registered on Form F-6 under the Securities Act or (b) the ADSs to be settled solely in electronic book-entry form and (ii) do not in either such case impose or increase any fees or charges to be borne by Holders, shall be deemed not to materially prejudice any substantial existing rights of Holders or Beneficial Owners. Every Holder and Beneficial Owner at the time any amendment or supplement so becomes effective shall be deemed, by continuing to hold such ADSs, to consent and agree to such amendment or supplement and to be bound by the Deposit Agreement and this ADR, if applicable, as amended or supplemented thereby. In no event shall any amendment or supplement impair the right of the Holder to surrender such ADS and receive therefor the Deposited Securities represented thereby, except in order to comply with mandatory provisions of applicable law. Notwithstanding the foregoing, if any governmental body should adopt new laws, rules or regulations which would require an amendment of, or supplement to, the Deposit Agreement to ensure compliance therewith, the Company and the Depositary may amend or supplement the Deposit Agreement and this ADR at any time in accordance with such changed laws, rules or regulations. Such amendment or supplement to the Deposit Agreement and this ADR in such circumstances may become effective before a notice of such amendment or supplement is given to Holders or within any other period of time as required for compliance with such laws, rules or regulations.
