Security of Premises, Equipment, Data and Personnel. Vendor andƒor Order Fulfiller may, from time to time during the performance of the Contract, have access to the personnel, premises, equipment, and other property, including data, files andƒor materials (collectively referred to as “Data”) belonging to the CustomerƒTIPS Member. Vendor shall use their best efforts to preserve the safety, security, and the integrity of the personnel, premises, equipment, Data and other property of the CustomerƒTIPS Member, in accordance with the instruction of the CustomerƒTIPS Member. Vendor shall be responsible for damage to CustomerƒTIPS Member's equipment, workplace, and its contents when such damage is caused by its employees or subcontractors. If a Vendor fails to comply with CustomerƒTIPS Member’s security requirements, then CustomerƒTIPS Member may immediately terminate its Purchase Order and related Service Agreement.

Vendor will use its com- mercial best efforts to preserve the safety, security, and the integrity of the premises, Equipment, data and other property of DIR or Customer, in accordance with the instruction of DIR or Customers. Subject to the provisions of Section 11.11, Vendor will be responsi- ble for damage to DIR or Customer’s equipment, software, workplace, and its contents, when such damage is caused by Vendor’s employees, agents or Subcontractors.

If Vendor is in breach of a security requirement, Customer will provide reasonable notice and opportunity to cure before Customer terminates its Purchase Order and related Service Agreement.
