Seller's Acknowledgment. Seller acknowledges that Seller has been informed of the responsibilities imposed upon Seller under the Residential Real Property Disclosure Act. Seller agrees to comply with the requirements of this Act to the best of the Seller’s ability and to not knowingly provide any false or inaccurate information.
Seller's Acknowledgment. Each of the Sellers acknowledges that he or she has carefully read and considered the provisions of this Article 8. Each of the Sellers acknowledges and understands that the restrictions contained in this Article 8 may limit his ability to earn a livelihood in a business similar to that of the Purchaser, Newco, the Company or any of their respective Related Companies, but he nevertheless believes that he has received and will receive sufficient consideration and other benefits to justify such restrictions. Each of the Sellers also acknowledges and understands that these restrictions are reasonably necessary to protect the Purchaser's, the Surviving Corporation's, the Company's and their respective Related Companies' interests, and each Seller does not believe that such restrictions will prevent him from earning a living in businesses that are not competitive with those of the Purchaser, the Company or any of their respective Related Companies during the term of such restrictions in the Restricted Area.
Seller's Acknowledgment. Seller acknowledges that Xxxxxx made no representations concerning the creditworthiness, integrity or ability of Buyer to complete this transaction. Seller has relied solely on Buyer's representations with respect thereto. Seller acknowledges that the Broker has performed all its duties pursuant to the listing agreement and has earned its compensation as set forth therein.

Seller acknowledges that all representations and warranties made by Seller to Buyer pursuant to this Agreement and (to Seller’s actual knowledge) all information contained in any of the documents furnished, or to be furnished to Buyer from Seller pursuant to this Agreement, are true and correct, and do not and shall neither contain any untrue statement, nor omit to state any fact necessary in order to make the statements contained herein or therein not misleading.
Seller's Acknowledgment. Seller acknowledges that any questions regarding legal liability with regard to any 232 provision in this Contract, accompanying disclosure forms and addendums or with regard to Seller’s obligations as set forth in a 233 fully executed purchase contract for the Real Estate (in the event of a conflict between the terms of a subsequent purchase 234 agreement and this Contract, the terms of the purchase agreement shall control) must be directed to Seller’s attorney. Seller's Acknowledgment. Each of the Sellers agrees and acknowledges that in order to assure Buyer that the Company and the properties and assets of the Company will retain their value, it is necessary that each of the Sellers undertakes not, and each of the Sellers shall cause its respective Affiliates not to undertake, to utilize its special knowledge of the Company and its relationship with clients or customers to compete with the Company in the manner set forth in this Section 6.9.
Seller's Acknowledgment. The Seller acknowledges that the representation given by the Buyer in clause 8.5 (“Buyer’s representation”) does not give the Seller a cause of Action against the Buyer and may only be raised by the Seller as a defence to any Claim by the Buyer.
