Senior Executive Oversight. Any unresolved Dispute shall first be referred to a designated senior executives from each of Schering and ViroPharma who shall promptly meet and use good faith efforts to reach agreement on resolution of the Dispute. In the event that such representatives of Schering and ViroPharma are unable to resolve the Dispute within thirty (30) days, then either Party shall have the right to submit the Dispute to binding arbitration in accordance with the provisions of Section 13.4(b) by providing written notice to the other Party.
Senior Executive Oversight. Hydro USA’s Vice President (“VP”) of Legal, VP of HSE and Quality, VP of Human Resources, VP of OPEX, and Risk Director shall continue to have responsibility for the implementation and oversight of the Code of Conduct, as well as its compliance policies and procedures, as described in Attachment 17 at 23-24. Hydro USA’s VP of Legal shall continue to directly report to the Group Legal Department at Norsk Hydro, and with respect to compliance matters, directly report to the Chief Compliance Officer of Norsk Hydro and with indirect reporting to the Hydro USA President. Hydro USA’s VP of Legal shall continue to liaise with the Group Internal Audit & Investigations Department. Hydro USA’s VP of HSE and Quality and VP of OPEX shall continue to directly report to Hydro USA’s President. Hydro USA’s VP of HSE and Quality shall continue to run the Quality team.

  • Senior Management If a Dispute occurs that the senior representatives of the Parties responsible for the transaction contemplated by this Agreement have been unable to settle or agree upon within a period of fifteen (15) calendar days after such Dispute arose, Seller shall nominate and commit one of its senior officers, and Buyer shall nominate and commit one of its senior officers, to meet at a mutually agreed time and place not later than thirty (30) calendar days after the Dispute has arisen to attempt to resolve same. If such senior management have been unable to resolve such Dispute within a period of fifteen (15) calendar days after such meeting, or if such meeting has not occurred within forty-five (45) calendar days following such Dispute arising, then either Party shall have the right, by written notice to the other, to resolve the Dispute through the relevant Independent Expert pursuant to Section 16.03.

Neither Party may require that an enterprise of that Party, that is a covered investment, appoint to senior management positions natural persons of any particular nationality. 2. A Party may require that a majority of the board of directors, or any committee thereof, of an enterprise of that Party that is a covered investment, be of a particular nationality, or resident in the territory of the Party, provided that the requirement does not materially impair the ability of the investor to exercise control over its investment.

  • Junior Employees The minimum rate of wages for junior employees shall be the under-mentioned percentages of the rates prescribed for the appropriate adult classification for the work performed by junior employees: Under 17 years of age 55% 17 and under 18 years of age 65% 18 and under 19 years of age 75% 19 and under 20 years of age 85% To determine the correct rate of pay, the Employer may request proof of age from the employee.

  • Incentive Compensation Program In order to enhance consistency in sales efforts for products offered inside and outside of Covered California, Contractor shall consider information provided by Covered California regarding sales commissions in order to credit the Agent’s sale of QDPs through Covered California for Small Business to the Agent’s sale of Contractor’s policies outside Covered California for purposes of determining Agent’s aggregate sales that shall be used by Contractor to determine incentive or other compensation payable by Contractor to Agent. Contractor shall provide information as may reasonably be required by Covered California from time to time to monitor Contractor’s compliance with the requirements set forth in this section.

  • Incentive Plans During the Term of this Agreement, Executive shall be entitled to participate in all bonus, incentive compensation and performance based compensation plans, and other similar policies, practices, programs and arrangements of the Company, now in effect or as hereafter amended or established, on a basis that is commensurate with his position and no less favorable than those generally applicable or made available to other executives of the Company. The Executive's participation shall be in accordance with the terms and provisions of such plans and programs. Participation shall include, but not be limited to:

  • Incentive Programs During the Term of Employment, the ------------------ Executive shall be entitled to participate in any annual and long-term incentive programs adopted by the Company and which cover employees in positions comparable to that of the Executive.

  • Incentive Compensation During the Term, Executive shall be eligible to receive cash incentive compensation as determined by the Board or the Committee, in its sole discretion, from time to time. For the Company’s 2017 fiscal year, Executive’s target annual incentive compensation shall be 45% of Executive’s Base Salary, and will be awarded based on the objective and/or subjective criteria established and approved by the Board or the Committee, as applicable. The Board or Committee shall have the sole discretion to determine whether Executive has earned any bonus and, if so, the amount of such bonus.
