Service and Performance Requirements. Subject to the forfeiture and accelerated vesting provisions set forth in Section 4 hereof, the Target Amount shall become vested in shares of F.N.B. common stock and shall become deliverable in the amount described in Section 3(b) hereof (provided such delivery is otherwise in accordance with federal and state laws) to the Participant on March 1, 2014 (“Vesting Date”), provided each of the following two vesting requirements set forth in Section 3(a)(i)(1) and (2) below, are satisfied, which shall both hereinafter be referred to as the “Vesting Requirements,” or individually as the “Vesting Requirement.”

Service and Performance Requirements. As a condition to earning an annual cash bonus under this Agreement, Grantee must continuously remain in a Service Relationship with the Company or a Subsidiary through the January 1 first following the last day of the Performance Year. In addition to the Service Relationship requirement, the amount of the annual cash bonus actually payable shall be determined based on attainment of the performance goals set forth in Exhibit A. To determine the amount of the annual cash bonus based on Exhibit A, the following steps shall be used: (i) for each performance goal, determine the level of attained performance (threshold, target or maximum, with linear interpolation for attained performance between threshold and target, and between target and maximum), (ii) for each performance goal, multiply the indicated weight for the goal by the payout funding percentage corresponding to the attained performance level, and multiply the result by the Target Annual Cash Bonus, and (iii) sum the amounts determined under clause (ii).
Service and Performance Requirements. (a) Contractor shall provide full preventative and routine maintenance, providing necessary systematic and periodic service and maintenance for specified elevator equipment for TFC at various facilities managed by TFC and located throughout Texas with most services taking place in Austin, TX. Such TFC managed facilities include the equipment listed in Exhibit A – Building List and Compensation and Fees (hereinafter referred to as Exhibit A) attached hereto and incorporated herein for all purposes.
