The audit shall be conducted by a third party independent auditor, and the audit must be performed in accordance with the standards established by the American Institute for Certified Public Accountants (AICPA). To the extent the independent auditor’s report concludes that <<customer_short_name>> failed to comply with the service eligibility criteria, <<customer_short_name>> must true-up any difference in payments, convert all noncompliant circuits to the appropriate service, and make the correct payments on a going-forward basis. In the event the auditor’s report concludes that <<customer_short_name>> did not comply overall in any material respect with the service eligibility criteria, <<customer_short_name>> shall reimburse BellSouth for the cost of the independent auditor. To the extent the auditor’s report concludes that <<customer_short_name>> did comply in all material respects with the service eligibility criteria, BellSouth will reimburse <<customer_short_name>> for its reasonable and demonstrable costs associated with the audit. <<customer_short_name>> will maintain appropriate documentation to support its certifications. 5.3.4.4 In the event <<customer_short_name>> converts special access services to UNEs, <<customer_short_name>> shall be subject to the termination liability provisions in the applicable special access tariffs, if any.

To the extent the auditor’s report concludes that <<customer_short_name>> ITC^DeltaCom did comply in all material respects with the service eligibility criteria, BellSouth will reimburse <<customer_short_name>> ITC^DeltaCom for its reasonable and demonstrable costs associated with the audit. <<customer_short_name>> ITC^DeltaCom will maintain appropriate documentation to support its certifications. 5.3.4.3.1 Notwithstanding the foregoing, if as of the Effective Date of this Agreement, ITC^DeltaCom has in place high-capacity EELs that do not comply with the Service Eligibility Criteria set forth herein, and that will not be rearranged pursuant to Section 5.3.5 below, ITC^DeltaCom shall identify such EELs and submit orders to either disconnect such EELs or convert such EELs within sixty (60) days of the Effective Date. If as of the Effective Date ITC^DeltaCom has in place high- capacity EELs that do not comply with the Service Eligibility Criteria but that will be rearranged pursuant to Section 5.3.5 below, ITC^DeltaCom shall have 60 days from the placement of such rearrangement orders to rearrange such non-compliant EELs, so long as the orders are placed within 30 days of the date BellSouth makes available to ITC^DeltaCom the process and procedures to place such rearrangement orders. To the extent any non-compliant EELs remain in place after the time periods set forth in this Section, BellSouth shall have the right to take such action as set forth in Section 5.3.4.3 above. 5.3.4.4 In the event <<customer_short_name>> ITC^DeltaCom converts special access services to UNEs, <<customer_short_name>> ITC^DeltaCom shall be subject to the termination liability provisions in the applicable special access tariffs, if any.

The audit shall be conducted by a third party independent auditor, and the audit must be performed in accordance with the standards established by the American Institute for Certified Public Accountants (AICPA). To the extent the independent auditor’s report concludes that <<customer_short_name>> Sprint failed to comply with the service eligibility criteria, <<customer_short_name>> Sprint must true-up any difference in payments, convert all noncompliant circuits to the appropriate service, and make the correct payments on a going-forward basis. In the event the auditor’s report concludes that <<customer_short_name>> Sprint did not comply overall in any material respect with the service eligibility criteria, <<customer_short_name>> Sprint shall reimburse BellSouth for the cost of the independent auditor. The audit shall be conducted by a third party independent auditorService Eligibility Criteria set forth herein, and that will not be rearranged pursuant to Section 4.5.5 below, DeltaCom shall identify such EELs and submit orders to either disconnect such EELs or convert such EELs within sixty (60) days of the audit must be performed Effective Date. If as of the Effective Date DeltaCom has in accordance place high-capacity EELs that do not comply with the standards established by Service Eligibility Criteria but that will be rearranged pursuant to Section 4.5.5 below, DeltaCom shall have 60 days from the American Institute for Certified Public Accountants (AICPA)placement of such rearrangement orders to rearrange such non-compliant EELs, so long as the orders are placed within 30 days of the date BellSouth makes available to DeltaCom the process and procedures to place such rearrangement orders. To the extent any non-compliant EELs remain in place after the independent auditor’s report concludes that <<customer_short_name>> failed time periods set forth in this Section, BellSouth shall have the right to comply with the service eligibility criteria, <<customer_short_name>> must true-up any difference take such action as set forth in payments, convert all noncompliant circuits to the appropriate service, and make the correct payments on a going-forward basis. The audit shall be conducted by a third party independent auditor, and the audit must be performed in accordance with the standards established by the American Institute for Certified Public Accountants (AICPA). To the extent the independent auditor’s report concludes that <<customer_short_name>> Aero failed to comply with the service eligibility criteria, <<customer_short_name>> Aero must true-up any difference in payments, convert all noncompliant circuits to the appropriate service, and make the correct payments on a going-forward basis. In the event the auditor’s report concludes that <<customer_short_name>> Aero did not comply overall in any material respect with the service eligibility criteria, <<customer_short_name>> Aero shall reimburse BellSouth for the cost of the independent auditor. To invoke the audit, AT&Tiwll send a Notice of Audit to AFS of GA. Such Notice of Audit willbe delivered to AFS of GA no less than thirty (30) days prior to the date upon which AT&T seeks to commence an audit. 4.3.4.3.1 Such Notice of Audit to AFS of GA shall state AT&T’s concern that AFS of GA is not complying with the serviceeligibility requirements as set forth above and a concise statement of the reasons therefor. AT&T is not required to provide documentation, as distinct from a statement of concern, to support its basis for an audit, or seek the concurrence of the requesting carrier before selecting the location of the audit. AT&Tmay select the independent auditor without the prior approval of AFS of GA or the Commission. Challenges to the independence of the auditor may be filed with the Commission only after the audit has been concluded. 4.3.4.3.2 For the stateof Alabama, AFS of GA may, however, challenge the legal qualifications of the auditor selected by filing an objection to that effect with the Commission within 10 days of receiving AT&T’s Notice of Audit. 4.3.4.3.3 For the stateof Louisiana, AT&T’s notice to AFS of GA shall include a listing of the circuits for which AT&T alleges noncompliance, including all supporting documentation and a list of three auditors from which AFS of GA may choose one to conduct the audit. 4.3.4.4 The audit shall be conducted by a third party independent auditor, and the audit must be performed in accordance with the standards established by the American Institute for Certified Public Accountants (AICPA)) which wirllequire the auditor to perfrom an “examination engagement” and issue a report regarding AFS of GA’s compliance with the high capacity EEL eligibility criteria. AICPA standards and other AICPA requiremenwtsill be used to determine the independence of an auditor. The independenatuditor’s report wilcl onclude whether AFS of GAcomplied inall material respects with the applicable serviceeligibility ceriita. To the extent the independent auditor’s report concludes that <<customer_short_name>> Xxxxx failed to comply with the service eligibility criteria, <<customer_short_name>> Birch must true-up any difference in payments, convert all noncompliant circuits to the appropriate service, and make the correct payments on a going-forward basis. In the event the auditor’s report concludes that <<customer_short_name>> Xxxxx did not comply overall in any material respect with the service eligibility criteria, <<customer_short_name>> Xxxxx shall reimburse BellSouth for the cost of the independent auditor.
