Capacities, Duties and Authority. (a) Effective on the Effective Date and throughout the Employment Period, the Executive shall be entitled to serve as, President and Chief Operating Officer of the Company, GK Technologies, Incorporated, a New Jersey corporation ("GK"), BICC General Cable Industries, Inc., a Delaware corporation ("BICC General"), and such other affiliates of the Company, GK or BICC General as the Board of Directors of the Company (the "Company's Board") shall request. The Company, GK, BICC General and such other affiliates are hereinafter referred to collectively as the "Group."

The Executive shall report directly to the Board, and shall direct and manage the affairs of the Company with such duties, functions and responsibilities as contemplated by the Company’s by-laws and as the Board shall designate, provided that such duties, functions and responsibilities are commensurate with the Executive’s positions of President and Chief Executive Officer.

(a) Effective on the Effective Date, the Executive shall be elected, and throughout the Employment Period the Executive shall be entitled to serve as, Executive Vice President, Chief Financial Officer and Treasurer of the Company, GCC, GK Technologies, Incorporated, a New Jersey corporation ("GK"), General Cable Industries, Inc., a Delaware corporation ("Industries"), and such other affiliates of the Company, GCC, GK or Industries as the Board of Directors of the Company (the "Company's Board") shall request. Capacities, Duties and Authority. Consultant will discharge her duties under this Agreement in good faith and in a professional manner. In addition, Consultant shall devote a reasonably sufficient amount of time and effort to providing the Consulting Services to meet the reasonable requests of MoneyGram; provided that Consultant shall not provide Consulting Services to MoneyGram in excess of 20% of the average level of services performed by Consultant for MoneyGram during the 36 month-period immediately preceding the Effective Date. Consultant shall obey all laws in connection with the performance of the Consulting Services, shall not engage in any deceptive, misleading or unethical practices, shall otherwise conduct business in a manner that reflects favorably at all times on the good name, goodwill and reputation of MoneyGram, its subsidiaries and affiliates, and shall not make any false or misleading representations with regard to MoneyGram, its subsidiaries or any of its or their affiliates.
