Common use of Service Provider Responsibility Clause in Contracts

Service Provider Responsibility. Service Provider shall be responsible for the provision of the Services in accordance with this Agreement even if such Services are actually performed by, or dependent upon services performed by, other parties (including through the use of Subcontractors). Service Provider acknowledges that part of this responsibility includes managing the performance of Managed Third Parties in accordance with Section 6.6 and otherwise interacting with non Service Provider Personnel (including personnel of DIR, DIR Customers, and other DCS Service Providers) as necessary in connection with the performance of the Services.

Service Provider shall be responsible for the provision of the Services in accordance with this Agreement even if if, by written agreement of the Parties, such Services are actually performed by, or dependent upon services performed byby (i) Subcontractors, other parties (including through the use of Subcontractors). ii) non-Service Provider acknowledges that part of this responsibility includes managing the performance of Personnel, including Allegheny Personnel (subject to Section 10.2), or (iii) Managed Third Parties (except as otherwise provided in accordance with Section 6.6 and otherwise interacting with non Service Provider Personnel (including personnel of DIR, DIR Customers, and other DCS Service Providers) as necessary in connection with the performance of the Services6.9 or Schedule 12D).
