Services by Third Parties. Either party may, without cause, procure any of the services or benefits specified in Section 2 hereof from a third party or may provide such services or benefits for itself. The Providing Party shall discontinue providing such services or benefits upon written notice by the discontinuing party, delivered at least 90 days before the requested termination date. The terminating party shall pay to the other party an amount equal to the costs incurred by the party providing services as a result of such termination, including, without limitation, any severance or cancellation fees.
Services by Third Parties. Unless otherwise specially agreed in writing between FLEX and the Tenant, FLEX shall be entitled to subcontract the whole or any part of any service provided hereunder to third parties. FLEX shall exercise reasonable care in the selection of third-party subcontractors, but assumes no liability and shall not be held responsible for any damage, loss, expense or delay caused by their actions or omissions. It is agreed that third-party subcontractors providing services hereunder shall be considered intended beneficiaries of these terms and conditions, but nothing herein shall be construed as limiting or relieving such third parties of liability to FLEX for any damage, loss, expense or delay resulting from their acts or omissions. FLEX may offer additional services to Tenant including, without limitation, packing, loading and unloading, furniture assembly and/or disassembly, and crane services subject to this paragraph as well as separately stated terms and conditions and subject to additional charges. Tenant acknowledges and understands that FLEX may not be providing the following services: trucking, moving, packing, loading, unloading, furniture assembly, furniture disassembly, crane or other requested services and FLEX may utilize the services of a third party. FLEX shall provide the name of any involved third party upon request. Tenant expressly authorizes the party providing the TRAILER delivery and/or pick-up services to obtain a signature from either the Tenant or the person authorized by Tenant pursuant to paragraph 5.(ii), above.
Services by Third Parties. If Customer engages a person or entity other than NetDocuments to provide professional or other services related to the Services or Customer Data including data conversion, training, installation, application integration, NetDocuments will have no liability for the acts or omissions of such person or entity.
Services by Third Parties. Company may procure the services of any responsible third party to perform all or part of the Services, insofar as said third party complies with all security standards and procedures required of Company by Customer, and further that said third party shall accept in writing the fiduciary responsibility requisite of the transfer of custody. Company will remain liable for all Services performed for Customer. Company will record all custody transfers and/or the use of any subcontractor to render contracted services to the Customer, and make Customer aware of any use of any subcontractor, including their identity.
Services by Third Parties. Except with respect to space made available to each of the Services Recipients pursuant to Schedule A, each of the Services Recipients may in its absolute discretion and without cause procure any of the services or benefits specified in clause 3 from a third party or may provide such services or benefits for itself. The Services Provider shall discontinue providing such services or benefits upon written notice by the discontinuing party, delivered at least 90 days before the requested termination date. The terminating Services Recipient shall pay to the Providing Parties an amount equal to the costs incurred by the Providing Parties as a result of such termination, including without limitation, any severance or cancellation fees.
Services by Third Parties. No Joint Dealer Manager has any liability in respect of any services or advice provided to the Offeror by persons other than itself. However, each Joint Dealer Manager will be entitled to rely upon any information which is made publicly available by the Offeror or the Issuer without having any responsibility to verify such information.
Services by Third Parties. Due to the complex nature and significance of the Pledged Assets, the Parties agree that the Lender may hire, in connection with the Sale, the services of APV in order to offer and sell the Pledged Assets in accordance with the terms and conditions established herein, (the "Technical Expert").

Except with respect to space made available to eSpeed pursuant to Annex A and Annex B, eSpeed (and Cantor, with respect to sales, marketing and public relations services) may, without cause, procure any of the services or benefits specified in Section 2 and/or Section 3 hereof from a third party or may provide such services or benefits for itself. Cantor (or eSpeed) shall discontinue providing such services or benefits upon written notice by the discontinuing party, delivered at least three months before the requested termination date.
Services by Third Parties. Equity, without cause, may itself perform or may procure from a third party any of the services or benefits specified in Section 2 hereof. The Service Provider shall discontinue providing such services or benefits upon written notice by Equity, delivered at least 90 days before the requested termination date, and the Support Services Fee will be reduced accordingly.
