Severance Upon Termination of Employment. The Company agrees to pay or cause to be paid to the Employee the severance paymentss specified in this Paragraph 2(b) if (i) there is a Change in Control, and (ii) within the Change in Control Period, (a) the Company or the Successor terminates the employment of the Employee for any reason other than Cause, death or Disability or (b) the Employee voluntarily terminates employment for Good Reason (each, a “Termination Event”). If the Employee is entitled to severance pursuant to this Paragraph 2(b), the Company agrees to pay or provide to the Employee as severance payment, the following:
