Sharing of Transaction Revenues. (A) The Cantor Parties and the eSpeed Parties agree to share Transaction Revenues with regard to transactions effected through Collaborative Marketplaces in the following manner:

If at any time during the Term, (i) quarterly Site Revenues shall exceed [***] (the "First Quarterly Hurdle") but is less than [***] (the "Second Quarterly Hurdle"), MP shall pay to AOL an amount equal to [***] of the Transaction Revenues derived by MP between the First Quarterly Hurdle and the Second Quarterly Hurdle or (ii) quarterly Site Revenues shall exceed the Second Quarterly Hurdle, MP shall pay to AOL an amount equal to [***] of Transaction Revenues derived by MP after the Second Quarterly Hurdle has been met. Notwithstanding the foregoing, if aggregate annual Site Revenues shall exceed (a) [***] (the "First Annual Hurdle") but is less than [***] (the "Second Annual Hurdle"), MP shall pay AOL an amount equal to [***] of the Transaction Revenues derived by MP between the First Annual Hurdle and the Second Annual Hurdle or (b) the Second Annual Hurdle, MP shall pay to AOL an amount equal to [***] of the Transaction Revenues derived by MP after the Second Annual Hurdle is met. Sharing of Transaction Revenues. MP shall pay to AOL an amount ------------------------------- equal to [xxxxxxxxxxxxxx] of Transaction Revenues until such time as aggregate Transaction Revenues plus [xxxxxxxxxxxxxxx] of aggregate Advertising Revenue ("MP Revenues") shall equal a sum total of [XXXXXXX] (the "Threshold"). During the Initial Term, from and after the Threshold has been met, MP shall pay to AOL an amount equal to [xxxxxxxxxxxx] of aggregate Transaction Revenues. MP will pay all of the foregoing amounts on a quarterly basis within thirty (30) days of the end of the quarter in which the applicable Transaction Revenues were generated.

Subject to Section 5.7, if during ------------------------------- the first contract year the number of AOL Purchasers exceeds [***] on a cumulative basis (the "First User Threshold"), then MP will pay AOL [***] of the Transaction Revenues generated after the First User Threshold is met. If during the second contract year the number of AOL Purchasers exceeds [***], on a cumulative basis (the "Second User Threshold"), then MP will pay AOL [***] of the Transaction Revenues generated after the Second User Threshold is met. If during the third contract year the number of AOL Purchasers exceeds [***] on a cumulative basis (the "Third User Threshold"), then MP will pay AOL [***] of the Transaction Revenues generated after the Third User Threshold is met. During any Renewal Term, MP shall pay AOL [***] of the Transaction Revenues. MP will pay all of the foregoing amounts on a quarterly basis within thirty (30) days following the end of the quarter in which the applicable Transaction Revenues were generated. Notwithstanding the foregoing, MP's obligation to pay AOL a percentage of Transaction Revenues shall cease [***] from the date MP acquires the applicable AOL Purchaser.
Sharing of Transaction Revenues. With respect to each quarter, AG will pay AOL an amount equal to the Applicable Percentage of all Transaction Revenues in such quarter. Such amount shall be due and payable for each quarter within [ ] days after the end of such quarter. The "Applicable Percentage" for any Transaction Revenues shall be [ ]%, except that the Applicable Percentage shall be [ ]% with respect to any Transaction Revenue that is in excess of the
Sharing of Transaction Revenues. MP shall pay to AOL an amount equal to four tenths of one percent (.4%) of Transaction Revenues until such time as the Revenue Threshold has been met. From and after the Revenue Threshold has been met, MP shall pay to AOL an amount equal to three percent (3%) of all Transaction Revenues generated hereunder. MP will pay all of the foregoing amounts on a quarterly basis within thirty (30) days following the end of the quarter in which the applicable Transaction Revenues were generated.
Sharing of Transaction Revenues. If at any time during the Term of the Agreement the amount of Transaction Revenues generated exceeds ** (the "Revenue Threshold"), then MP will pay AOL ** of the Transaction Revenues generated after the Revenue Threshold is met. MP will pay all of the foregoing amounts on a quarterly basis within thirty (30) days following the end of the quarter in which the applicable Transaction Revenues were generated, provided that MP may reserve twenty percent (20%) of such amount at the end of each quarter against returns which may be processed in the following quarter, provided further that MP shall pay to AOL at the end of the following quarter any portion of such twenty percent which was not actually paid to a customer in exchange for a return.
Sharing of Transaction Revenues. During the Term, YellowBrix shall pay AOL [*] percent ([*]%) of Net Transactions Revenues, as such term is defined in Exhibit B.
