Common use of Short-term Outage Requests Clause in Contracts

Short-term Outage Requests. If Seller reasonably concludes that a Unit must be Shut-Down as soon as practicable to conduct maintenance that cannot be delayed until the next Excused Scheduled Maintenance Outage established in accordance with Sections 3.8(b) through 3.8(e), Seller shall Notify Buyer in accordance with the Forced Outage Reporting Protocol specified in Appendix III (Section C). If all of the criteria set forth in subsections (i) through (iii) are met, then at Buyer’s sole discretion, such Outage may be deemed an Excused Scheduled Maintenance Outage: (i) in consultation with Buyer, Seller is able to delay the Outage to occur in its entirety within a period acceptable to Buyer at its sole discretion that is also within seven (7) days, (ii) Seller receives Buyer’s written approval as specified in Appendix III (Section D) after the initial notification, and (iii) the Outage does not exceed the limitations within Section 3.8(e)(iii).
