SIEMENS. Data processing by Siemens in the context of this project will involve only Siemens internal data, e.g. data about bid projects. All data processing is conducted in compliance with Austrian law. If necessary (e.g. in case of data related to employees which is currently not planned), the respective authorities such as staff council will be consulted.
SIEMENS. Seller shall formally acknowledge Buyer’s purchase orders and provide a confirmation of delivery dates (lead time is 90 days). Seller shall maintain as necessary, an appropriate level of IS0 certification and compliance to IS0 9001. Seller further warrants that all Products sold to Buyer under this Agreement comply with the requirements of the U.S. Food and Drug Administration (“FDA”) and the FDA’s Good Manufacturing Practices (“GMP”) with respect to the manufacture, package, assembly and testing for the Products Seller shall formally notify Buyer of any Product changes that affects form fit or function (class one).
SIEMENS. Buyer’s remedy is contingent on (1) prompt written notification of the defect; (2) the cause of the defect not being the result of misuse, accident, neglect, alteration, improper testing, storage, installation or negligence on the part of the Buyer; and (3) return of the Products to Buyer’s manufacturing location with shipment and in-transit loss or damage at the risk and expense of the Buyer. Such repair, replacement or credit shall constitute fulfillment of all liability of Buyer to Seller whether based in contract, tort, and indemnity or otherwise. In the event, Seller is unable to confirm a failure for an Accelerator Assembly Product, which has been returned to Seller under warranty, Seller shall invoice Buyer at the current manufacturing rate of [ * ], at an amount not to exceed the current labor value of the Product. SIEMENS. Siemens are currently working with non-mainstream fuels (often referred to as ‘opportunity fuels’), some of which have high hydrogen contents. Typically these comprise process off-gases, such as refinery gas or coke over gas. Siemens is researching getting the fuel into the combustors safely, burning it stably and reliably, and controlling the combustion emissions. Their research on high- hydrogen fuels is moving away from diffusion flame combustion systems to DLN combustion. It seeks to mitigate flashback risk and combustion instabilities. Siemens has hydrogen capability at various levels across its gas turbine portfolio from 4 megawatt (MW) to 567 MW. Most recently, progress has been made on enhancing the hydrogen capabilities of its dry low emission (DLE) combustion systems. Its SGT-600, -700 and -800 gas turbines (24 MW to 57 MW) offer up to 60% hydrogen in natural gas on a volume basis with NOx emission levels as low as 25 part per million (ppm). Siemens are currently working on a capability-expansion project to enable the burners to be able to operate on up to 100% hydrogen (Turbomachinery Magazine, 2018).

Lien Waiver: an agreement, in form and substance satisfactory to Collateral Agent, by which (a) for any material Collateral located on leased premises, the lessor waives or subordinates any Lien it may have on the Collateral, and agrees to permit Collateral Agent to enter upon the premises and remove the Collateral or to use the premises to store or dispose of the Collateral; (b) for any Collateral held by a warehouseman, processor, shipper, customs broker or freight forwarder, such Person waives or subordinates any Lien it may have on the Collateral, agrees to hold any Documents in its possession relating to the Collateral as agent for Collateral Agent, and agrees to deliver the Collateral to Collateral Agent upon request; (c) for any Collateral held by a repairman, mechanic or bailee, such Person acknowledges Collateral Agent’s Lien, waives or subordinates any Lien it may have on the Collateral, and agrees to deliver the Collateral to Collateral Agent upon request; and (d) for any Collateral subject to a Licensor’s Intellectual Property rights, the Licensor grants to Collateral Agent the right, vis-à-vis such Licensor, to enforce Collateral Agent’s Liens with respect to the Collateral, including the right to dispose of it with the benefit of the Intellectual Property, whether or not a default exists under any applicable License.

  • IBM Credit may in its sole discretion from time to time decide the amount of credit IBM Credit extends to Customer, notwithstanding any prior course of conduct between IBM Credit and Customer. IBM Credit may combine all of its advances to make one debt owed by Customer.

  • AMD AMD shall keep records in sufficient detail to enable FoundryCo to determine that AMD has complied with its second sourcing limitations in Section 2.1(b) and its GPU Product volume sourcing commitments in Section 2.1(c). AMD shall permit said records to be inspected, at FoundryCo’s expense, upon reasonable advance notice, during regular business hours by an independent auditor selected by FoundryCo and approved by AMD, which approval shall not be unreasonably withheld. The audit shall be for the purpose of verifying that AMD has complied with its second source restrictions in Section 2.1(b) and its GPU Product sourcing commitments in Section 2.1(c). Inspections conducted under this Section 8.1(b) shall be at FoundryCo’s expense, unless AMD has a non-compliance variance adverse to FoundryCo of [****] percent ([****]%) or more of (i) the relevant [****] percent ([****]%) second source restriction or (ii) the GPU Minimum Percentage for the applicable audited period, in which case AMD shall bear the reasonable expenses of such audit.

  • Technology Discoveries, innovations, Know-How and inventions, whether patentable or not, including computer software, recognized under U.S. law as intellectual creations to which rights of ownership accrue, including, but not limited to, patents, trade secrets, maskworks and copyrights developed under this Agreement.

  • Distributor The Distributor represents and warrants that: (i) the Distributor is a limited partnership duly organized and in good standing under New York law; (ii) the Distributor is registered as a broker-dealer under federal and applicable state securities laws and is a member of the NASD; and (iii) the Distributor is registered as an investment adviser under federal securities laws.
