Source and Nationality and Restricted Commodities. Source and nationality and restricted commodity requirements (see ADS 310, Source and Nationality Requirements for Procurement of Commodities and Services Financed by USAID and ADS 312, Eligibility of Commodities) are applicable to funds that USAID extends to PIO recipients on a cost-reimbursement basis to the same extent as funds extended in grants to non-U.S. non-governmental organizations (see ADS 303, Grants and Cooperative Agreements to Non-Governmental Organizations). Source and Nationality and Restricted Commodities. A blanket waiver with respect to source and nationality requirements (ADS 310, Source and Nationality Requirements for Procurement of Commodities and Services Financed by USAID) exists through fiscal year 2016 to permit Bilateral Donors receiving grants from USAID to procure goods and services worldwide, except for prohibited source countries identified under ADS 310. The blanket waiver does not apply to restricted commodities purchased under cost-type grants, for which a separate waiver must be obtained in accordance with ADS 312, Eligibility of Commodities, prior to the purchase of any restricted commodities. 351.3.2.4 Competition‌ Effective Date: 07/31/2012 Competition is not required for grants to Bilateral Donors.   • General Restrictions The registered Holder of this Purchase Warrant agrees by his, her or its acceptance hereof, that such Holder will not: (a) sell, transfer, assign, pledge or hypothecate this Purchase Warrant for a period of one hundred eighty (180) days following the Effective Date to anyone other than: (i) Aegis Capital Corp. (“Aegis”) or an underwriter or a selected dealer participating in the Offering, or (ii) a bona fide officer or partner of Aegis or of any such underwriter or selected dealer, in each case in accordance with FINRA Conduct Rule 5110(g)(1), or (b) cause this Purchase Warrant or the securities issuable hereunder to be the subject of any hedging, short sale, derivative, put or call transaction that would result in the effective economic disposition of this Purchase Warrant or the securities hereunder, except as provided for in FINRA Rule 5110(g)(2). On and after 180 days after the Effective Date, transfers to others may be made subject to compliance with or exemptions from applicable securities laws. In order to make any permitted assignment, the Holder must deliver to the Company the assignment form attached hereto duly executed and completed, together with the Purchase Warrant and payment of all transfer taxes, if any, payable in connection therewith. The Company shall within five (5) Business Days transfer this Purchase Warrant on the books of the Company and shall execute and deliver a new Purchase Warrant or Purchase Warrants of like tenor to the appropriate assignee(s) expressly evidencing the right to purchase the aggregate number of Shares purchasable hereunder or such portion of such number as shall be contemplated by any such assignment.

  • Enterprise Information Management Standards Grantee shall conform to HHS standards for data management as described by the policies of the HHS Office of Data, Analytics, and Performance. These include, but are not limited to, standards for documentation and communication of data models, metadata, and other data definition methods that are required by HHS for ongoing data governance, strategic portfolio analysis, interoperability planning, and valuation of HHS System data assets.

  • Information Services Traffic 5.1 For purposes of this Section 5, Voice Information Services and Voice Information Services Traffic refer to switched voice traffic, delivered to information service providers who offer recorded voice announcement information or open vocal discussion programs to the general public. Voice Information Services Traffic does not include any form of Internet Traffic. Voice Information Services Traffic also does not include 555 traffic or similar traffic with AIN service interfaces, which traffic shall be subject to separate arrangements between the Parties.
