Special Events Cooperation. The Lessee agrees to make every good faith effort to fully comply and cooperate with the Lessor, its agents, assigns, contractors, licensees, and invitees, in coordinating and accommodating special events, air shows (e.g., the Annual Sun n Fun Fly-In), or emergency operations at the Lakeland Xxxxxx International Airport. The Leased Premises are located within the Lessor’s “Aerobatic Box”, which is more particularly described in Exhibit “2”, attached hereto and made a part hereof. For purposes of this Lease Agreement, the term “Aerobatic Box” shall be defined as an area of the Premises utilized during the Airport’s annual Sun n’ Fun event for jet performances. Such performances and related practices are generally limited to late afternoon hours and conducted up to a maximum of five (5) days per year to minimize business interruption. During such times when the Aerobatic Box is in use, the Lessee shall not be permitted to use or occupy the Leased Premises pursuant to Federal Aviation Administration guidelines for safety reasons. Lessor shall be required to notify Lessee, in writing, on an annual basis, when the Aerobatic Box will be in use. Such notice shall be provided to Lessee no less than seven (7) days prior to the occurrence of such scheduled use.

Special Events Cooperation. The Lessee agrees to make every good faith effort to fully comply and cooperate with the Authority, its agents, assigns, contractors, licensees, and invitees, in coordinating and accommodating special events, air shows, or emergency operations at the Wilmington International Airport. The Lessor may use the Leased Premises exclusively for up to five (5) calendar days annually without compensation to the Lessee, sub lessees, or customers excluding however, Lessee’s business offices.

  • Special Events During the Term of the Agreement, the Concessionaire may schedule events for dates up to 12 months after the Agreement’s end date. For all events scheduled during the 12-month post-agreement period, the Concessionaire will provide a copy of the original event contract to the Department. All special event contracts for events after the Agreement’s end date must provide notice that the contract may be assigned to another concessionaire at the Department’s request. The Department may either issue a permit authorizing the Concessionaire to fulfill these event obligations or require the Concessionaire to assign the contracts and deposits to another concessionaire. In the event of a cancellation, the Concessionaire will not pursue or accept a replacement date or event, unless the Department’s Agreement Manager gives written pre-approval. After the Agreement’s end date, the Concessionaire will not schedule any additional events or reschedule existing events.

  • DISTRIBUTION AND DEFAULT SERVICE TERMS AND CONDITIONS Capacity Pipeline Capacity, Underground Storage Withdrawal Capacity, Underground Storage Capacity and Peaking Capacity as defined in these Terms and Conditions. Capacity Allocators The proportion of the Customer’s Total Capacity Quantity that comprises Pipeline Capacity, Underground Storage Withdrawal Capacity and Peaking Capacity. City Gate The interconnection between a Delivering Pipeline and the Company’s distribution facilities. Company Eversource Gas Company of Massachusetts d/b/a Eversource Energy Company Gas Allowance The difference between the sum of all amounts of Gas received into the Company’s distribution system and the sum of all amounts of Gas delivered from the Company’s distribution system as calculated by the Company for the most recent twelve (12) month period ending July 31. Such difference shall include, but not be limited to, Gas consumed by the Company for its own purposes, line losses and Gas vented and lost as a result of an event of Force Majeure, excluding gas otherwise accounted for. Company-Managed Supplies Capacity contracts held and managed by the Company in accordance with governing tariffs, but made available to the Supplier pursuant to Section 13.9 of these Terms and Conditions, including supply-sharing contracts and load- management contracts. Consumption Algorithm A mathematical formula used to estimate a Customer’s daily consumption. Critical Day In accordance with Section 19.0 of these Terms and Conditions, a Day declared at any time by the Company in its reasonable discretion when unusual operating conditions may jeopardize operation of the Company’s distribution system.

  • Certification of Funds; Budget and Fiscal Provisions; Termination in the Event of Non-Appropriation This Agreement is subject to the budget and fiscal provisions of the City’s Charter. Charges will accrue only after prior written authorization certified by the Controller, and the amount of City’s obligation hereunder shall not at any time exceed the amount certified for the purpose and period stated in such advance authorization. This Agreement will terminate without penalty, liability or expense of any kind to City at the end of any fiscal year if funds are not appropriated for the next succeeding fiscal year. If funds are appropriated for a portion of the fiscal year, this Agreement will terminate, without penalty, liability or expense of any kind at the end of the term for which funds are appropriated. City has no obligation to make appropriations for this Agreement in lieu of appropriations for new or other agreements. City budget decisions are subject to the discretion of the Mayor and the Board of Supervisors. Contractor’s assumption of risk of possible non-appropriation is part of the consideration for this Agreement. THIS SECTION CONTROLS AGAINST ANY AND ALL OTHER PROVISIONS OF THIS AGREEMENT.

  • DUTIES OF THE AGENTS IN CONNECTION WITH EARLY REDEMPTION 12.1 If the Issuer decides to redeem any Notes for the time being outstanding before their Maturity Date in accordance with the Conditions, the Issuer shall give notice of the decision to the Principal Paying Agent and, in the case of redemption of Registered Notes, the Registrar stating the date on which the Notes are to be redeemed and the nominal amount of Notes to be redeemed not less than 15 days before the date on which the Issuer will give notice to the Noteholders in accordance with the Conditions of the redemption in order to enable the Principal Paying Agent and, if applicable, the Registrar to carry out its duties in this Agreement and in the Conditions.

  • Termination of Covenants The covenants set forth in this Section 5 shall terminate and be of no further force or effect (i) immediately before the consummation of the IPO, (ii) when the Company first becomes subject to the periodic reporting requirements of Section 12(g) or 15(d) of the Exchange Act, or (iii) upon a Liquidity Event, as such term is defined in the Restated Certificate, whichever event occurs first.

  • Default Events (a) Any material breach of the Funding Agreement by the Recipient, including those set out below, will be an event of default (“Default Event”):

Moreover, Respondent acknowledges and agrees that this Agreement is only binding on the State Mortgage Regulators and not any other Local, State or Federal Agency, Department or Office.
