Statement of Sales. In accordance with the MASTER AGREEMENT TO DEVELOP, PUBLISH AND SELL PRODUCT, each party shall provide to the other party a Statement of Sales. Each party shall pay to the other party all money due to that party in US dollars within 30 days following June 30th and December 31st of each calendar year being the sales revenue from finished product sales and from copyright and/or film rights sales for the Product in that preceding period of six (6) months.

Statement of Sales. 15.1 S&D shall prepare accounts for the Work on a quarterly basis (4 times per year) following publication and the said accounts shall be delivered to the Author and settled within three months thereafter, provided however that no payment need be made in respect of any period in which the sum due is less than one hundred USD Dollars ($100) in which case the amounts shall be carried forward to the next accounting date. 15.2 The termretail price’ as used throughout this Agreement means U.S., Canadian, UK and EU recommended list prices for the Work, excluding any taxes to which it may be subject. 15.3 The term ‘net amounts received by Xxxxxx & Denver’ as used throughout this Agreement means the amounts actually received by S&D from sales of the Work, represented by the retail price less discounts given to agents, distributors, wholesalers or booksellers (as appropriate) in order to secure book sales to the final customers.

Statement of Sales. (a) Party A shall prepare semi-annual statements of sales detailing all sales of finished product and all sales of copyrights and/or film rights and such statements shall be delivered to Party B within 10 business days following December 31 and June 30 for each calendar year unless otherwise specified in the Product Agreement. (b) Upon reasonable written notice and during Party A's normal business hours, Party B or its authorized representative or appointed auditor shall have the right to examine Party A's records at that place at which they are normally kept, in so far as such records relate to the sales and receipts in respect of the Product. Such examination shall be at the cost of Party B, but in which case there is in excess of 2.5% of the amount due to Party B, the cost of such examination (including the cost of any domestic and international travel and accommodation) shall be borne by Party A. Any amount shown to be due shall be paid forthwith by Party A to Party B unless otherwise specified in the Product Agreement.
Statement of Sales. 13.1 The Publishers shall prepare accounts for the Work quarterly to 31 March, 30 June, 30 September and 31 December following publication and such accounts shall be delivered to the Author and settled within one month thereafter, provided however that no payment need be made in respect of any period in which the sum due is less than £50 in which case the amount shall be carried forward to the next accounting date. 13.2 The Publishers shall at the Publishers’ discretion have the right to set aside as a reserve against returns a sum representing in the case of a paperback edition five per cent, in the case of a physical audio recording five per cent and in the case of a physical electronic version five per cent of the royalties earned under Clause 12 at the first accounting after publication or reissue of any such edition or version of the Work, and to withhold this sum for a period up to and including the third royalty statement following publication or reissue, after which all monies due shall be paid in full at the time of the next royalty statement. 13.3 Upon reasonable written notice and during the Publishers’ normal business hours the Author or the Author’s appointed representative shall have the right to examine the Publishers’ records of account at the place at which they are normally kept, insofar as such records relate to sales and receipts for the Work. Such examination shall be at the cost of the Author unless errors shall be found, to the disadvantage of the Author, in excess of 5 per cent of the amount due to the Author, in which case the reasonable cost of such examination shall be borne by the Publishers. Any amount thereby shown to be due to the Author shall be paid to the Author on receipt by the Publishers of the Author’s account relating thereto. No more than one such inspection shall be made in any twelve-month period. 13.4 Any overpayment (which shall exclude any unearned balance of the advance paid to the Author in respect of the Work but without further limitation shall include any debit royalties caused by returns of copies of the Work for which the Author has previously received royalty payments from the Publishers) made by the Publishers to the Author in respect of the Work may be deducted from any sums due subsequently to the Author from the Publishers under this Agreement. 13.5 The termretail price’ as used throughout this Agreement means the Publishers’ UK recommended list price for the Work, excluding any Value Added Tax (‘V...
Statement of Sales. The written sales figures for the Stores for the period from December 27, 2018 through December 25, 2019 (the “Statement of Sales End Date”) (a) are set forth on Section 3.13 of the Disclosure Schedule, (b) are complete and correct in all material respects, (c) present fairly in all material respects the sales of each Store for the period specified and (d) have been prepared in good faith using substantially the same accounting methods, practices principles, policies and procedures used in the preparation of such sales figures for prior periods in the Ordinary Course of Business, in each case, in all material respects.
