Status of Distributor. It is the intent of the parties that Distributor's status be that of an independent contractor and not an employee of TTI. As a result of this Agreement, no joint venture, partnership or other entity or association is created and Distributor shall have complete control over the time, place and method of performing its obligations pursuant to this Agreement. TTI shall not be required to deduct or withhold any payroll taxes out of any payments made to Distributor.
3.1. Distributor shall provide its own vehicles, office space, furniture, fixtures, equipment, clerical help and the like to perform its tasks and obligations pursuant to this Agreement.
3.2. Each party understands that they are fully responsible to file their own income tax return, corporate or otherwise, as independent contractors of each other pursuant to Federal and Arizona State income tax laws.
3.3. Distributor shall maintain its own Worker's Compensation insurance policy, and shall not be covered under TTI's worker's compensation policy.
Status of Distributor. The Distributor is an independent --------------------- contractor and shall be an agent for the Fund only with respect to the sale and repurchase of the Shares.
Status of Distributor. 12.1 This Agreement shall not be deemed in any way to create the relationship of principal and agent between Manufacturer and Distributor; and under no circumstances shall Distributor be considered to be the agent of Manufacturer. Distributor shall not act or attempt to act, or present itself, explicitly or implicitly, as an agent of Manufacturer. Distributor shall not in any manner assume or make, or attempt to assume or make, any obligation, liability, representation, warranty or guarantee on behalf of, or in the name of Manufacturer.
12.2 Distributor shall at all times comply with all applicable laws, regulations, and orders of any government of the Territory or political subdivisions thereof relating to or in any way affecting this Agreement and Distributor's performance hereunder, including obtaining of any required licenses, permits or approvals to perform Distributor’s obligations under this Agreement.
12.3 Distributor shall not disclose to any third party, without the prior written consent of Manufacturer, or use for any purpose other than the performance of its obligations under this Agreement, any confidential information concerning the Products or business affairs of Manufacturer (including, but not limited to, prices, discounts, terms and conditions) which it receives directly or indirectly from Manufacturer, or which it acquires or develops in the course of its transactions with Manufacturer.

11.2 [OBEYANCE OF LAWS] The Distributor shall, at all times, comply with all applicable laws, regulations, and orders of any government of the Territory or political subdivisions thereof, relating to or in any way affecting this Agreement and the Distributor's performance hereunder including the obtaining of any required licenses, permits or approvals.

Distributor shall have no authority hereunder to enter into any contract of sale or employment on behalf of Company, nor to endorse Company's cheques, nor to make allowances or adjustments on Company's accounts for the return of merchandise, except pursuant to the written authorization of Company.

12.2 The Distributor shall, at all times, comply with all applicable laws, regulations, and orders of any government of the Territory or political subdivisions thereof, relating to or in any way affecting this Agreement and the Distributor’s performance hereunder, including the obtaining of any required licenses, permits or approvals. The Distributor shall at all times comply with all applicable laws, statues, regulations, and codes relating to anti-bribery and anti-corruption in the Territory or political subdivisions thereof.
12.3 The Distributor shall not disclose to any third party, without the prior written consent of the Supplier, or use for any purpose other than the performance of its obligations under this Agreement, any confidential information concerning the Product or business affairs or technologies of the Supplier (including, but not limited to, prices, discounts, terms and conditions of sale, customers, business affairs, Products or Product specifications) which it acquires or develops in the course of its transaction with the Supplier. Notwithstanding the foregoing, the parties may make such public disclosures as are required under applicable securities laws or the rules and regulations of any stock exchange or interdealer quotation system on which the parties’ capital stocks are then traded or listed.

Pty Ltd and under no circumstances shall C.B. & P. Pty Ltd be considered to be the agent of Collage International Health Pty Ltd. C. B. & P. Pty Ltd shall not act or attempt to act, or represent itself, directly or by implication, as an agent of Collage International Health Pty Ltd or in any manner assume or create, or attempt to assume or create any obligation, liability, representation, warranty or guarantee on behalf of, or in the name of Collage International Health Pty Ltd.
