Status of Operator. 43.1 In carrying out its obligations under this Agreement the Operator agrees that it will be acting as an independent contractor and nothing in this Agreement shall create, or be deemed to create, a partnership, joint venture, or the relationship of principal and agent or employer and employee between the Parties.
43.2 The Operator shall not say or do anything that may lead any other person to believe that the Operator is acting as the agent of the Authority.
43.3 The Operator shall bear exclusive responsibility for the payment of national insurance contributions and for discharge of any income tax in relation to its Staff or such similar liability arising out of remuneration or the performance of the Services under this Agreement.
Status of Operator. Operator shall not receive any payments acting as Operator according to this Contract, except as otherwise provided in the Accounting procedure and any joint operating agreement which may be executed by Contractor Parties.
Status of Operator. Operator shall perform and execute its obligations under this Agreement as an independent contractor to Owner and shall not be an employee or, except as expressly provided in this Agreement, an agent of Owner.
Status of Operator. The Operator in its operations hereunder will be deemed to be an independent contractor. The Operator will not act or hold itself out as agent for any of the Parties nor make any commitments on behalf of any of the Parties unless specifically permitted by this Agreement or directed in writing by a Party.
Status of Operator. 3.1 The Parties intend that the Operator and any Operator’s Personnel be engaged as independent contractors of the Company. Nothing contained in this Agreement will be construed to create the relationship of employer and employee, principal and agent, partnership or joint venture, or any other fiduciary relationship.
3.2 The Operator may not act as an agent for, or on behalf of, the Company, represent the Company, or bind the Company in any form or manner.
3.3 The Operator will not be entitled to worker's compensation, retirement, insurance, or other benefits afforded to employees of the Company.
3.4 The Operator shall not subcontract work for the Company without prior written approval from OIC.
3.5 For ease and convenience in daily operations regarding the Service being provided by the Operator, the Operator will appoint an employee or an agent to be the sole point of contact for the Company.
Status of Operator. A. It is understood and agreed by all the parties hereto that Operator is an independent contractor and that no relationship of employer-employee exists between the County and Operator. Neither Operator nor Operator's assigned personnel shall be entitled to any benefits payable to employees of the County. Operator hereby indemnifies and holds the County harmless from any and all claims that may be made against the County based upon any contention by any third party that an employer-employee relationship exists by reason of this Agreement or any services provided pursuant to this Agreement.
B. It is further understood and agreed by all the parties hereto that neither Operator nor Operator's assigned personnel shall have any right to act on behalf of the County in any capacity whatsoever as an agent or to bind the County to any obligation whatsoever.
C. It is further understood and agreed by all the parties hereto that Operator must issue any and all forms required by Federal and State laws for income and employment tax purposes, including W-2 and 941 forms, for all of Operator's assigned personnel.
Status of Operator. Anadolun in the conduct of its activities under the Lease will be deemed to have the status of an independent contractor. Anadolun will not act or hold itself out as an agent for Texada nor make any commitments on behalf of Texada unless permitted by this Lease or directed in writing by Texada, as applicable.
Status of Operator. In performing services pursuant to this Agreement, Operator shall be an independent contractor to the Partnership.
Status of Operator. It is acknowledged that neither the Operator nor any person employed by the Operator for the purpose of carrying out its obligations under this Agreement shall be deemed to be an employee of TfNSW or of the Government of the State of New South Wales, or employed under the Government Sector Employment Act 2013 or the TAA and neither the Operator nor the employees of the Operator shall represent themselves as being the servants or agents of TfNSW or the Government.
Status of Operator. Karasu in the conduct of its activities under the Lease will be deemed to have the status of an independent contractor. Karasu will not act or hold itself out as an agent for Black Sea nor make any commitments on behalf of Anadolun or Black Sea unless permitted by this Lease or directed in writing by Anadolun and Black Sea, respectively.
