RIGHTS, DUTIES AND STATUS OF OPERATOR. 7.1 Rights and Powers of Operator Subject to the decisions of the Management Committee, the Operator will have full, complete and exclusive control, charge and supervision of the Project and Assets and the sole and exclusive right and authority to supervise, manage and carry out all Operations and to incur the Costs required for that purpose. The Operator will manage and carry out the Operations in accordance with the terms and conditions of Programs, Production Notices and Operating Plans approved by the Management Committee and in connection therewith will, in advance, if reasonably possible, notify the Management Committee of any change in Operations which the Operator considers material. If it is not reasonably practicable to give notice in advance, then the Operator will notify the Management Committee as soon thereafter as is reasonably practicable.

  • Rights, Duties and Responsibilities of Escrow Agent It is understood and agreed that the duties of the Escrow Agent are purely ministerial in nature, and that:
