STATUS OF THIS MOU. 6.1 This MOU is not intended to be legally binding, and no legal obligations or legal rights shall arise between the Parties from this MOU.
STATUS OF THIS MOU. 2.3.1 The parties acknowledge and agree that:
(a) this MOU is entered into by the parties in good faith and for the purpose of facilitating a co-operative working relationship between the parties in the context of the listing of HKEx on the Stock Exchange of Hong Kong;
(b) in the interpretation of any of the provisions of this MOU such provisions shall receive such fair, large and liberal construction and interpretation as will best ensure the attainment of the objects of this MOU according to its true intent, meaning and spirit;
(c) this MOU shall not give rise to any rights, direct or indirect, on the part of third parties, nor shall such third parties be entitled to require compliance by any party hereto with any of its respective obligations arising hereunder;
(d) nothing in this MOU shall affect the rights of the SFC to exercise any of its powers or perform any of its functions under any of the Relevant Ordinances or the Listing Rules;
(e) save as expressly provided for in this MOU and the Relevant Listing Rules, the rights of HKEx and SEHK to exercise any of their respective powers or functions under any of the Relevant Ordinances or the Listing Rules shall be unaffected; and
(f) this MOU shall be a public document and the contents hereof may be disclosed and copies may be furnished by any party to any third party without the consent of the other parties.
STATUS OF THIS MOU. 2.1 This MoU is not intended to be legally binding. It does not create any rights or obligations enforceable in law, whether in partnership, agency, joint venture or otherwise.
2.2 For the avoidance of doubt:
2.2.1 Except where explicitly stated, this MoU shall not affect any of the existing contractual relationships between the Parties.
2.2.2 Nothing in this MoU shall act to prevent the Parties entering into binding legal agreements in relation to other projects in the future.
STATUS OF THIS MOU. While the parties will use their best endeavours to meet their commitments under this MOU, they do not intend for it to be legally binding.
STATUS OF THIS MOU. The Participants accept that this MoU is not intended to be legally binding, and no legal obligations or legal rights shall arise between the Participants out, or as a result, of this MoU. This MoU is also not intended to, nor shall it be deemed to, establish any partnership, agency relationship or joint venture between the Participants.
STATUS OF THIS MOU. 1.1 The provisions of this MoU are not exhaustive and nor are they intended to be legally binding between the Foundation and the Council, except where stated otherwise.
1.2 In respect of any legally binding paragraphs, the Parties agree to comply with the terms of this MoU in consideration of the payment by each Party to the other of the sum of one pound (£1), the receipt and sufficiency of which is acknowledged by each Party.
STATUS OF THIS MOU. 9.1 This MoU is not intended to be a legally enforceable contract and it does not replace the legal framework that applies to each NHS Trust.
STATUS OF THIS MOU. 5.1 The Parties acknowledge and agree that this MoU is not intended to create an exhaustive set of binding rights and obligations which be enforceable by or against them. However, they each recognise that certain of the commitments included in this MoU need to have contractually binding effect in the interests of the SKA Project as a whole.
5.2 With that in mind, the parties agree that the following provisions of this MoU will be binding: Articles 2, 3.2, 4.2, and 5-8.
5.3 The parties agree that the remaining provisions of this MoU are an expression of the current intentions of the parties, and that they are not intended to be legally binding or otherwise to give rise to any enforceable rights or obligations. Nevertheless, the Parties repeat and confirm their good faith intention to commit all necessary and appropriate effort and resource to comply with those provisions and achieve their objectives.
5.4 This MoU may be executed in any number of counterparts.
STATUS OF THIS MOU. 14.1. This MoU is a statement of intent, signalling the intention of the Partner Authorities to work together to achieve the Key Objectives and, except in relation to clause 8 (Confidential Information) is not intended to be a legally binding agreement.
14.2. The Partner Authorities acknowledge that this MoU is an indication of their commitment to support the delivery of the Project and each Partner Authority enters into this MoU intending to honour its obligations.
STATUS OF THIS MOU. 11.1 This MoU is not intended to be legally binding and no legal obligations or rights shall arise from it. The Parties enter into the MoU intending to honour the principles and obligations set out herein.
11.2 Nothing in this MoU is intended to, or shall be deemed to, establish any partnership or joint venture between the Parties, constitute either party as the agent of the other party, nor authorise either of the Parties to enter into any commitments for or on behalf of the other party.
