Statutory Registers. All registers, statutory books, books of account and other corporate records of any Group Company are maintained in accordance with applicable Law on a proper and consistent basis, contain complete and accurate records of all material matters required to be dealt with in such books and records, and have as required by Law attached to them copies of all such resolutions and agreements when filed.
Statutory Registers. (a) . Except as set forth on Section 5.8 of the Company Disclosure Letter or in de minimis respects, all registers, statutory books, books of account and other corporate records of the Company are up-to-date, maintained in accordance with applicable Law on a proper and consistent basis, contain complete and accurate records of all matters required to be dealt with in such books and records, and have attached to them copies of all such resolutions and agreements as are required by Law to be filed.

(a) Except as set forth in Section 4.8 of the Company Disclosure Letter, all physical and electronic registers, statutory books, books of account and other corporate records of the Company are up-to-date, duly maintained in accordance with all applicable Laws on a proper and consistent basis, contain complete and accurate records of all matters required to be dealt with therein, and have attached to them copies of all such resolutions and agreements as are required by Law to be filed. There is no information omitted from such books and records which would render such books and records misleading and all such books and all material records and documents (including any documents of title and copies of all subsisting agreements to which the Company is a party) are in the possession and/or control of the Company. The Company has not received any notice of any application or intended application under any applicable Laws for the rectification of its statutory records, registers and/or books
Statutory Registers. The Register of Members and other statutory registers and records of the Company required to kept under sections 190, 288, 324-8, 352, 352A, 382, 382A, 382B, 354 and 407 of the Companies Xxx 0000 have been properly kept and contain an accurate and complete record of the matters with which they should deal.

Except as set forth on Section 4.7 of the AARK Schedules or in de minimis respects, all registers, statutory books, books of account and other corporate records of the Group Companies are up to date, maintained in material compliance with applicable Law on a proper and consistent basis, contain complete and accurate records of all matters required to be dealt with in such books and records, and have attached to them copies of all such resolutions and agreements as are required by Law to be filed.

The register of members and all other corporate records required by law to be maintained by the Companies are in all respects correct and complete and there has been no notice of any proceedings to rectify any such register or record and there are no circumstances which might lead to any application for rectification of the same
Statutory Registers. The statutory registers of each Target Company required to be kept by applicable laws in its jurisdiction of incorporation have been maintained in all material respects in accordance with such laws.
Statutory Registers. The register of members or shareholders’ register and other statutory registers of each Group Company contain a record of the material matters with which they should deal and which so far as the Seller is aware are accurate in all material respects and in the last 12 months no notice or allegation has been received by a Group Company that any such statutory register is incorrect or should be rectified which remains outstanding. 8 Documents filed In the last 12 months no Group Company has received notice that any form or document required by (a) the Companies Acts to be filed with the Registrar of Companies; (b) the Companies (Guernsey) Law 2008 with the Registrar of Companies; and (c) the Dutch Civil Code (Burgerlijk Wetboek), Commercial Register Xxx 0000 (Handelsregisterwet 2007) and/or Commercial Register Decree 2009 (Handelsregisterbesluit 2009) with the Trade Register of the Chamber of Commerce, in respect of each Group Company has not been duly filed and is still outstanding.
Statutory Registers. (a) The register of members and other statutory registers of the Company and Dragonfly Eye Pte. Ltd are up to date, and contain an accurate record with which should be dealt with in those books and, save as Disclosed in the Disclosure Letter, an accurate copy of them is included at documents 01.01.01.10, 01.01.01.11 and 00.00.00.00.00 of the Data Room.
