Sublicenses and Assignments. 16.1 Except as otherwise expressly permitted herein or by the Exclusive Licensing Agreement, neither Party shall sublicense, assign, or otherwise transfer any rights, duties or obligations, other than a right to receive payment of money, conferred by this Agreement and exhibits attached hereto without the prior, written consent of the other Party. Any such attempt to sublicense, assign, or transfer by a Party without such consent shall be null and void. Any sublicenses, assignments, or transfers shall be subject to the terms of this Agreement, including the duties of confidentiality herein.

Sublicenses and Assignments. Licensee may sublicense and/or assign to any third party, including affiliates of Licensee, any and all rights granted hereunder. In the event of an assignment, Licensee shall enter into a written agreement with the assignee pursuant to which the assignee shall assume all of the obligations of Licensee under this Agreement and this Agreement shall be binding upon and inure to the benefit of such assignee. In the event of a sub-license, Licensee shall enter into a written agreement with sub-licensee (i) with a term no greater than the term of this Agreement, (ii) with rights granted to sub-licensee which are no greater than the terms of this Agreement, and (iii) pursuant to which Licensee shall use reasonable business efforts to impose upon sub-licensees similar obligations as Licensor has imposed upon Licensee under this Agreement.
Sublicenses and Assignments. The license granted by this Agreement shall not include the right to grant sublicenses. The license shall be assignable only to Affiliates of Licensee in accordance with the provisions of Section 14(l), and there shall be no more than one user of the Trademark at any time under this License. Any attempted assignment of this license to other than Affiliates of the Licensee, Section 14(l) shall be void and convey no rights to the purported assignee. The term "Affiliate" shall mean a person that, directly or indirectly through one or more intermediaries, controls or is controlled by, or is under common control with, the person specified. When used in the forgoing sentence, the term "control" shall mean the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of a person, whether through the ownership of voting securities, by contract or otherwise.
Sublicenses and Assignments. The Parties agree that the rights and licenses granted hereunder are personal to Licensee and Licensee may not sublicense, transfer or assign any rights herein granted without the prior written approval of Licensor (in its sole discretion). For any sublicense and/or assignment granting rights to sell Products to parties other than Licensee to be valid, Licensee shall, prior to any such assignment or sublicense, enter into a written assignment and/or sublicense agreement with such proposed sublicensee and/or assignee under which the assignee and/or sublicensee agrees to (i) make payments of royalties to Licensee at commercially reasonable rates based upon the sale of Products, and (ii) provide Licensee records, data and other information necessary to verify the assignee's and/or sublicensee's performance of its obligations under such sublicense and/or assignment agreement. Licensee agrees that it shall take all such action as is reasonable in order to fully enforce the obligations of any such sublicensee and/or assignee under any such sublicense and/or assignment agreement.
