Reasonable Business Efforts means those efforts a reasonably prudent business Person would expend
Reasonable Business Efforts means those efforts a reasonably prudent business Person would expend under the same or similar circumstances in the exercise of such Person’s business judgment, intending in good faith to take steps calculated to satisfy the obligation that such Person has undertaken to satisfy. Residual of Digested Food Solids means material remaining after digestion and dewatering of Food Waste that requires recycling or Disposal.

Residual of Digested Food Solids means material remaining after digestion and dewatering of Feedstock that requires recycling. Site means the parcel(s) of land on which the Facility is situated. Ton means a unit of measure for weight equivalent to two thousand (2,000) standard pounds (where each pound contains 16 ounces).

  • Neither Party shall be in breach of its obligations hereunder in the event, and for so long as, it is impossible or extremely impracticable for it to perform such obligations due to an Uncontrollable Circumstance if such Party exerted Reasonable Business Efforts to prevent such Uncontrollable Circumstance, and such Party expeditiously takes all actions within its control to end, or to ameliorate the effects of such Uncontrollable Circumstance as soon as possible.

Reasonable Business Efforts means those efforts that would be expended by a reasonably prudent businessman in the exercise of his business judgment under the same or similar circumstances, provided that he, or the enterprise by which he is employed, would not incur a financial loss (other than time expended and incidental out-of- pocket expenditures which are reimbursable pursuant to this Agreement) by reason of having expended or expending such efforts.

Recovery (or Recover, Recovered or other variations thereof) means the picking, pulling, sorting, separating, classifying and recovery of Recyclable Materials from Permitted Material, whether by manual or mechanical means, by Contractor at the Facility, after Acceptance of Permitted Materials and before Marketing of Recovered Materials Accepted by Contractor. Recyclable Materials means materials having a potential for reuse or reprocessing or other materials having value. Replacement Operator is a third party designated by the Authority to Operate the Facility in the event of Contractor breach or default or due to an Uncontrollable Circumstance as described in Section 11.04. Residue (or Residual or a variation thereof) means Permitted Material remaining after Acceptance, Recovery, and Processing thereof that require Disposal. Residue does not include Recovered Materials, or potentially Recovered Xxxxx Goods, Bulky Goods, or White Goods. Reuse, Drop-off, Buy-Back Recycling Center is the facility located on the Site to Accept, Process and Recycle certain Source Separated Recyclable Materials, operated by the Contractor.
Reasonable Business Efforts means those efforts a reasonably prudent businessperson would expend under the same or similar circumstances in the exercise of such person’s business judgment, intending in good faith to take steps calculated to satisfy the obligation which such person has undertaken to satisfy; provided that such person would not incur a financial loss (other than time expended or unless otherwise compensated for such efforts herein) by reason of having expended or expending such efforts. Regulatory Agency means any federal, State or local governmental agency, including California Department of Transportation, California Department of Motor Vehicles, EDD, U.S. Immigration and Naturalization Services, California Air Resources Board, regional water quality management districts, California Department of Toxic Substances, CIWMB, the Local Enforcement Agency, federal and State Environmental Protection Agencies and other federal or State health and safety department, applicable to Services. Records means all ledgers, book of account, invoices, vouchers, canceled checks, logs, correspondence and other records or documents of Contractor evidencing or relating to Rates, Tonnage of Organic Materials, satisfaction of Contractor’s obligations under this Agreement and performance of the terms of this Agreement, damages payable under this Agreement and Contractor defaults as described and defined in Article 7.
