Subordination to Agreements and Law. Board and Operator expressly agree and understand that due to the funding and providing of services by governmental entities, Board has entered into certain agreements and accepted the obligations under laws and governmental regulations, ordinances, codes and policies. Any Operator or any other person or entity who provides services on the Airport or conducts operations on the Airport shall be subject to the requirements of these agreements and obligations and the conditions of all written Agreements, Contracts, Permits, etc. shall be subordinate to these obligations. Therefore, Board, as an express or implied covenant of these prior agreements, is required to secure the acknowledgment of Operator that this Agreement and the rights of Operator are subject and subordinate to these prior agreements and the laws and regulations, and any amendments thereto, imposed upon Board because of its entry into these prior agreements. The Operator, any other person or entity who provides services on the Airport or conducts operations on the Airport shall be subject to the requirements of these agreements and obligations and the conditions of all written agreements, contracts, permits and other similar instruments shall be subordinate to these obligations. Therefore, the City, as an express or implied covenant of these prior agreements, is required to secure the acknowledgement of the Operator that this Agreement and the rights of the Operator are subject and subordinate to these prior agreements and the laws and regulations, and any amendments thereto, imposed upon the City because of its entry into these prior agreements. If some future change to these senior agreements or the laws or regulations imposed under them shall operate to substantially terminate the Operator’s quiet enjoyment of the Ramp as reflected on Exhibit A or otherwise destroy the expectations of the City and the Operator, including the Operator’s ability to carry out its business as contemplated hereunder; then this Agreement shall be terminated without default of either party, and both parties shall cooperate to minimize the economic losses of both parties occasioned by such termination.   • Subordination and Attornment Requirements All Non-Residential Leases, regardless of whether Lender’s consent or approval is required, will specifically include the following provisions:

  • Relation to Subordination Provisions Interest Drawings under the Liquidity Facilities and withdrawals from the Cash Collateral Accounts, in each case, in respect of interest on the Certificates of any Class, will be distributed to the Trustee for such Class of Certificates, notwithstanding Sections 2.01(b) and 3.02.

All Liens on the Common Collateral securing any Senior Lender Claims shall be and remain senior in all respects and prior to all Liens on the Common Collateral securing any Second-Priority Claims for all purposes, whether or not such Liens securing any Senior Lender Claims are subordinated to any Lien securing any other obligation of the Company, any other Grantor or any other Person.
