Subprojects. 1. Without limitation upon the provisions of parts B and C of this Section, the Borrower, through MARENASS, shall monitor the activities of the Subprojects in accordance with the provisions of this paragraph and those of the Operational Manual that include, inter alia: (a) the administrative rules and procedures for the planning, preparing, proposing, selecting, contracting, financing, implementing, supervising, monitoring and evaluating Subprojects; (b) an indigenous peoples’ framework setting forth the strategies, procedures, activities, and monitoring indicators addressing, in a culturally appropriate manner, indigenous peoples’ concerns in the implementation of the Project, as well as for planning, preparation and proposals of Subprojects; (c) the environmental criteria for screening and selecting Subprojects, and mandatory safeguards and mitigation actions for any such Subprojects, which could possibly have a negative environmental impact; and (d) the procedures related to the manufacturing, packaging, labeling, handling, storing, and disposal of any pesticides used in the carrying out of Subprojects. 2. The Borrower, through MARENASS, shall furnish to the Bank, along with each Loan withdrawal application, a list of the respective Subprojects for which it is seeking reimbursement. 3. The Subprojects shall be carried out pursuant to an agreement (the Subproject Agreement), to be concluded between the Borrower, through MARENASS and the Subproject beneficiary (ies) under terms and conditions described in the Operational Manual, which shall include, inter alia, the following: (a) a copy of the approved activity with its budget, pre-investment study, disbursement and performance indicators; (b) the obligation of the Subproject beneficiary(ies) to: (i) carry out the activities with due diligence and efficiency and in accordance with sound administrative, financial, agricultural, social, natural and environmental standards and in accordance with the provisions of the Operational Manual; (ii) maintain adequate records to reflect, in accordance with simple and sound accounting practices defined in the Operational Manual, the operations, resources and expenditures in respect of the Subproject; (iii) maintain adequate reporting in accordance with the standards specified in the Operational Manual; and (iv) make a contribution in kind or/and in cash as defined in the Operation Manual; (c) the requirement that: (i) the goods, works and services to be financed from the proceeds of the Project shall be procured in accordance with the procedures set forth in this Agreement and in the Procurement Plan; and

Subprojects. 1. 2. Prior to each eligible Subproject for which the Recipient has decided to make available to an eligible HEI either a Partnership Payment under Part 1.1.2(b) of the Operational Manual that Project, or a Research Payment under Part 2.2(b) of the Project, the Recipient shall enter into or cause to be entered into a Partnership Agreement or a Research Agreement respectively, with the competitively selected HEI, on terms and conditions satisfactory to the Association, which shall include, inter alia:
(a) the administrative rules and procedures for the planning, preparing, proposing, selecting, contracting, financing, implementing, supervising, monitoring and evaluating Subprojects;
(b) an indigenous peoples’ framework setting forth the strategies, procedures, activities, and monitoring indicators addressing, in a culturally appropriate manner, indigenous peoples’ concerns in the implementation of the Project, as well as for planning, preparation and proposals of Subprojects;
(c) the environmental criteria for screening and selecting Subprojects, and mandatory safeguards and mitigation actions for any such Subprojects, which could possibly have a negative environmental impact; and
(d) the procedures related to the manufacturing, packaging, labeling, handling, storing, and disposal of any pesticides used in the carrying out of Subprojects.
2. The Borrower, through MARENASS, shall furnish to the Bank, along with each Loan withdrawal application, a list of the respective Subprojects for which it is seeking reimbursement.
3. The Subprojects shall be carried out pursuant to an agreement (the Subproject Agreement), to be concluded between the Borrower, through MARENASS and the Subproject beneficiary (ies) under terms and conditions described in the Operational Manual, which shall include, inter alia, the followingfollowing requirements:
(a) a copy of the approved activity with its budget, pre-investment study, disbursement and performance indicators;
(b) the obligation of the Subproject beneficiary(ies) to: (i) for each eligible HEI to carry out the activities its Subproject with due diligence and efficiency and in accordance with sound administrativetechnical, economic, financial, agriculturalmanagerial, social, natural environmental and environmental social standards and practices satisfactory to the Association, in accordance full compliance with the provisions of the Operational Project Operations Manual; , the ESCP (including the management tools and instruments referred to therein) and the Anti-Corruption Guidelines applicable to recipients of Financing proceeds other than the Recipient;
(ii) maintain adequate records for each eligible HEI to reflectprovide, in accordance with simple and sound accounting practices defined in the Operational Manualpromptly as needed, the operationsresources (including bonuses, resources fees and expenditures in respect honoraria or equivalent payments of academic staff providing mentoring support, if needed) required for the purpose of the Subproject; ;
(iii) maintain adequate reporting in accordance with the standards specified in the Operational Manual; and (iv) make a contribution in kind or/and in cash as defined in the Operation Manual;
(c) the requirement that: (i) for each eligible HEI to procure the goods, works and services to be financed from out of the Partnership Payments/Research Payments in accordance with the provisions of the Procurement Regulations and as further specified in the Project Operations Manual;
(iv) for each eligible HEI to maintain a financial management system and adequate records to reflect, in accordance with sound accounting practices acceptable to the Association, the operations, resources and expenditures relating to the Subproject;
(v) to enable the Recipient and/or the Association to inspect the Subproject, its operation and any relevant records and documents and have HEI’s financial statements audited by independent auditors acceptable to the Association; and
(vi) for each eligible HEI to prepare and furnish to the Recipient and the Association all such information as the Recipient or the Association shall reasonably request relating to the foregoing;
(b) the obligation for the Recipient, through MoEYS and DGHE, to ensure:
(i) the carrying out of technical reviews of Subprojects during Project implementation, particularly focused on the compliance with the verification mechanisms included in the Project Operations Manual;
(ii) the carrying out of periodic verification exercises of Partnership Payments and Research Payments in accordance with the provisions of the Project Operations Manual; and
(iii) the provision of a report of such scope and in such detail as the Association shall reasonably request prior to the payment of any proceeds of any Partnership Payments and Research Payments; and
(c) adequate provisions to protect the Recipient’s interests and the interests of the Association, including the right to suspend or terminate the right of the HEI to use the proceeds of the Project Partnership Payment or a Research Payment, and the right to obtain a refund of all or any part of the amount of the Partnership Payment or a Research Payment then withdrawn, upon the HEI’s failure to perform any of its obligations under the Partnership Agreement or a Research Agreement respectively.
3. No Subproject shall be procured in accordance with the procedures eligible for financing unless a Partnership Agreement or a Research Agreement has been concluded to this effect on terms and conditions set forth in this Section D and the Project Operations Manual, in form and substance satisfactory to the Association.
4. The Recipient shall exercise its rights under each Partnership Agreement or a Research Agreement in such manner as to protect the interests of the Recipient and in the Procurement Plan; andAssociation and to accomplish the purposes of the Financing. Except as the Association shall otherwise agree, the Recipient shall not assign, amend, abrogate or waive any Partnership Agreement or a Research Agreement or any of its provisions.

3. The Subprojects shall be carried out pertinent Beneficiary pursuant to an agreement (the Subproject Grant Agreement), ) to be concluded entered into between the Borrower, through MARENASS SAR, and the Subproject beneficiary (ies) under said Beneficiary on terms and conditions described acceptable to the Bank, including those set forth in paragraph 2 below, and in accordance with eligibility criteria and procedures acceptable to the Bank as further detailed in the Project Operational Manual, which .
2. Each Grant Agreement shall includecontain, inter alia, the following:
following provisions: (a) a copy SAR shall obtain rights adequate to protect its interests and those of the approved activity with its budgetBank, pre-investment study, disbursement and performance indicators;
(b) including the obligation of the Subproject beneficiary(ies) right to: (i1) suspend or terminate the right of Beneficiaries to use the proceeds of the Grant, or obtain a refund of all or any part of the amount of the Grant then withdrawn, upon the Beneficiaries’ failure to perform any of its obligations under the Grant Agreement; and (2) require each Beneficiary to: (a) carry out the activities its Subproject with due diligence and efficiency and in accordance with sound administrativetechnical, agricultural, economic, financial, agriculturalmanagerial, social, natural environmental and environmental social standards and practices satisfactory to the Bank, including in accordance with the provisions of the Anti-Corruption Guidelines applicable to recipients of Loan proceeds other than the Borrower, the Project Operational Manual, the Environmental Management Framework, the Indigenous Peoples Framework and the Involuntary Resettlement Framework, and the provisions of this Agreement as applicable to Subprojects; (iib) maintain adequate records provide, promptly as needed, the resources required for the purpose; (c) procure the goods, works and services (including consultants’ services) to reflect, be financed out of the Grant in accordance with simple the provisions of this Agreement; (d) maintain procedures adequate to enable it to monitor and sound evaluate in accordance with indicators acceptable to the Bank, the progress of the Subproject and the achievement of its objectives; (e)
(i) maintain a simplified financial management system and records in accordance with consistently applied accounting practices defined standards acceptable to the Bank for community driven initiatives, both in the Operational Manual, a manner adequate to reflect the operations, resources and expenditures in respect of related to the Subproject; and (iiiii) maintain adequate reporting at the Bank’s or the Borrower’s request, have such financial statements audited by independent auditors acceptable to the Bank, in accordance with consistently applied auditing standards acceptable to the standards specified in Bank, and promptly furnish the Operational Manualstatements as so audited to the Borrower and the Bank; (f) enable SAR and the Bank to inspect the Subproject, its operation and any relevant records and documents; and (ivg) make a contribution prepare and furnish to SAR and the Bank all such information as the Borrower, SAR or the Bank shall reasonably request relating to the foregoing.
3. The Borrower, through SAR, shall exercise its rights and carry out its obligations under each Grant Agreement in kind or/and in cash such manner as defined in to protect the Operation Manual;
(c) the requirement that: (i) the goods, works and services to be financed from the proceeds interests of the Borrower, the Project Implementation Unit and the Bank and to accomplish the purposes of the Project. Except as the Bank shall be procured in accordance with otherwise agree, the procedures set forth in this Borrower shall ensure that the Project Implementation Unit not assign, amend, abrogate, terminate, waive or fail to enforce any Grant Agreement and in the Procurement Plan; andor any of its provisions.

(d) the procedures related to the manufacturing, packaging, labeling, handling, storing, and disposal of any pesticides used in the carrying out of SubprojectsMicrocatchment Development Committee.
2. The BorrowerBorrower shall, through MARENASSSEAPPA, enter into Grant Agreements appropriate for the carrying out of Components 1 and 2 of the Project, such agreements to be made in accordance with terms of the respective draft set forth in model forms approved by the Bank and included in the Project Operational Manual, in which the Borrower shall furnish obtain rights adequate to protect its interests and those of the Bank, along with each Loan withdrawal application, a list including the right to: (1) suspend or terminate the right of Beneficiaries to use the proceeds of the respective Subprojects for which it is seeking reimbursement.
3. The Subprojects shall be carried out pursuant Grant, or obtain a refund of all or any part of the amount of the Grant then withdrawn, upon the Beneficiaries’ failure to an agreement perform any of its obligations under the Grant Agreement; and (the Subproject Agreement), to be concluded between the Borrower, through MARENASS and the Subproject beneficiary (ies2) under terms and conditions described in the Operational Manual, which shall include, inter alia, the following:
require each Beneficiary to: (a) a copy of the approved activity with its budget, pre-investment study, disbursement and performance indicators;
(b) the obligation of the Subproject beneficiary(ies) to: (i) carry out the activities its Subproject with due diligence and efficiency and in accordance with sound administrativetechnical, agricultural, economic, financial, agriculturalmanagerial, social, natural environmental and environmental social standards and practices satisfactory to the Bank, including in accordance with the provisions of the Operational Manual; (ii) maintain adequate records Anti-Corruption Guidelines applicable to reflectrecipients of Loan proceeds other than the Borrower, in accordance with simple and sound accounting practices defined in the Project Operational Manual, the operations, resources Environmental Management Framework and expenditures in respect of the SubprojectInvoluntary Resettlement Framework; (iiib) maintain adequate reporting in accordance with provide, promptly as needed, the standards specified in resources required for the Operational Manualpurpose; and (iv) make a contribution in kind or/and in cash as defined in the Operation Manual;
(c) the requirement that: (i) procure the goods, works and services to be financed from the proceeds out of the Project shall be procured Grant in accordance with the provisions of this Agreement; (d) maintain procedures set forth adequate to enable it to monitor and evaluate in this accordance with indicators acceptable to the Bank, the progress of the Subproject and the achievement of its objectives; (e)

3. The Borrower shall cause SEAPPA to exercise its rights under each Grant Agreement in such manner as to protect the interests of the Borrower and in the Procurement Plan; andBank and to accomplish the purposes of the Loan. Except as the Bank shall otherwise agree, the Borrower shall ensure that SEAPPA not assign, amend, abrogate or waive any Grant Agreement or any of its provisions.

Eligible Municipality to: (cA) the environmental criteria for screening and selecting Subprojects, and mandatory safeguards and mitigation actions for any such Subprojects, which could possibly have a negative environmental impact; and
(d) the procedures related to the manufacturing, packaging, labeling, handling, storing, and disposal of any pesticides used cooperate in the carrying out of Subprojects.
2. The Borrower, through MARENASS, shall furnish to the Bank, along with each Loan withdrawal application, a list of the respective Subprojects for which it is seeking reimbursement.
3. The Subprojects shall be carried out pursuant to an agreement (the Subproject Agreement), to be concluded between the Borrower, through MARENASS and the Subproject beneficiary (ies) under terms and conditions described in the Operational Manual, which shall include, inter alia, the following:
(a) a copy of the approved activity with its budget, pre-investment study, disbursement and performance indicators;
(b) the obligation of the Subproject beneficiary(ies) to: (i) carry out the activities with due diligence and efficiency and in accordance with sound administrativetechnical, economic, financial, agriculturalmanagerial, social, natural environmental and environmental social standards and practices satisfactory to the Association, including in accordance with the Operational Manual, and the provisions of the Anti-Corruption Guidelines applicable to recipients of credit proceeds other than the Recipient; (B) provide or cause the WSS service providers to provide, as promptly as needed, the resources required for the purpose, including without limitation adequate human resources and the counterpart contribution required for each type of investment under a Subproject in the percentages set forth in the Operational Manual; (C)
(1) if the Eligible Municipality meets the capacity requirements set forth in the Operational Manual, conduct the procurement processes for all goods, works, and services to be financed out of the Credit in accordance with the provisions of this Agreement, and direct the Operational Manual; (ii) maintain adequate records UAP to reflectexecute, in accordance jointly with simple and sound accounting practices defined in the Operational Manualit, the operations, resources and expenditures in respect of the Subproject; (iii) maintain adequate reporting in accordance with the standards specified in the Operational Manualresulting contracts; and (iv2) make a contribution in kind or/and in cash as defined in if the Operation Manual;
(c) Eligible Municipality does not meet such capacity requirements, cooperate with the requirement that: (i) the UAP to ensure that all goods, works and services to be financed out of the Credit are procured in accordance with the provisions of this Agreement; (D) maintain policies and procedures adequate to enable it to monitor and evaluate in accordance with indicators acceptable to the Association, the progress of the Subproject and the achievement of its objectives; (E) enable the Recipient and the Association to inspect the Subproject, its operation and any relevant records and documents; and (F) prepare and furnish to the Recipient and the Association all such information as the Recipient or the Association shall reasonably request relating to the foregoing, including without limitation the information required by the Recipient to comply with its obligations under Section II.B of this Schedule; and
(iii) the right of the Recipient to suspend or terminate the right of the Eligible Municipality to participate in the Subproject and/or to benefit from the proceeds of the Project Credit, upon the Eligible Municipality’s failure to perform any of its obligations under the respective Subproject Agreement.
(b) The Recipient shall be procured exercise its rights under the each Subproject Agreement in accordance with such manner as to protect the procedures set forth in this interests of the Recipient and the Association and to accomplish the purposes of the Credit, and, except as the Association shall otherwise agree, not to assign, amend, terminate, abrogate, waive or fail to enforce any Subproject Agreement and in the Procurement Plan; andor any provision thereof.

(b) an indigenous peoples’ framework setting forth the strategies, procedures, carrying out of selected risk reduction activities in the context of the Current Emergency and the development of mitigation activities, including inter alia, rehabilitation of infrastructure, early warning systems, retention walls, terracing, drainage works, pilot reforestation projects and monitoring indicators addressing, in a culturally appropriate manner, indigenous peoples’ concerns in the implementation of the Project, as well as for planning, preparation and proposals of Subprojectsshelter retrofitting;
(c) the environmental criteria for screening securing of rights adequate to protect the interests of the Recipient and selecting Subprojectsthose of the Association, and mandatory safeguards and mitigation actions for including the right to suspend or terminate the right of a Beneficiary to use the proceeds of a Sub-grant or obtain a refund of all or any such Subprojects, which could possibly have a negative environmental impact; andpart of it upon the Beneficiary’s failure to perform any of its obligations under the Sub-grant Agreement;
(d) the procedures related to the manufacturing, packaging, labeling, handling, storing, and disposal of any pesticides used in the carrying out of Subprojects.
2. The Borrower, through MARENASS, shall furnish to the Bank, along with requirement that each Loan withdrawal application, a list of the respective Subprojects for which it is seeking reimbursement.
3. The Subprojects shall be carried out pursuant to an agreement (the Subproject Agreement), to be concluded between the Borrower, through MARENASS and the Subproject beneficiary (ies) under terms and conditions described in the Operational Manual, which shall include, inter alia, the followingBeneficiary:
(a) a copy of the approved activity with its budget, pre-investment study, disbursement and performance indicators;
(b) the obligation of the Subproject beneficiary(ies) to: (i) carry out the activities relevant Subproject with due diligence and efficiency and in accordance with sound administrativetechnical, economic, financial, agriculturalmanagerial, social, natural environmental and environmental social standards and practices satisfactory to the Association, including in accordance with the provisions of the Operational Manual; Anti-Corruption Guidelines applicable to recipients of financial proceeds other than the Recipient;
(ii) maintain adequate records to reflectprovide, in accordance with simple and sound accounting practices defined in the Operational Manualpromptly as needed, the operations, resources and expenditures in respect of required for the Subproject; purpose;
(iii) maintain adequate reporting in accordance with the standards specified in the Operational Manual; and (iv) make a contribution in kind or/and in cash as defined in the Operation Manual;
(c) the requirement that: (i) procure the goods, works and services to be financed from the proceeds out of the Project shall be procured Sub-grant in accordance with the provisions of this Agreement;
(iv) maintain policies and procedures set forth adequate to enable it to monitor and evaluate in this Agreement accordance with indicators acceptable to the Association, the progress of the Subproject and the achievement of its objectives;
(A) maintain a financial management system and prepare financial statements in accordance with consistently applied accounting standards acceptable to the Procurement PlanAssociation, both in a manner adequate to reflect the operations, resources and expenditures related to the relevant Subproject; and (B) at the Association’s or the Recipient’s request, have such financial statements audited by independent auditors acceptable to the Association, in accordance with consistently applied auditing standards acceptable to the Association, and promptly furnish the statements as so audited to the Recipient and the Association;
(vi) enable the Recipient and the Association to inspect the relevant Subproject, its operation and any relevant records and documents; and
(vii) prepare and furnish to the Recipient and the Association all such information as the Recipient or the Association shall reasonably request relating to the foregoing.
