SUBSCRIBER ELIGIBILITY CERTIFICATION. For the Corporation to offer and sell the Shares in conformance with state and federal securities laws, the following information must be obtained regarding Subscriber’s investor status. The Subscriber understands that for the purchase of Shares, the Subscriber must either be an “accredited investor”, or a “qualified purchaser”. A. Category A - Accredited investor (1) The Subscriber is an accredited investor (as defined in Rule 501 of Regulation D (230.501)), because it is a bank; a savings and loan association; a broker or dealer; an investment adviser; an insurance company; a registered investment company; a registered business development company; a licensed Small Business Investment Company (“SBIC”); a Rural Business Investment Company; a plan established and maintained by a state, its political subdivisions, or an agency or instrumentality of a state or its political subdivisions, for the benefit of its employees, if such plan has total assets in excess of $5,000,000; an employee benefit plan within the meaning of the Employee Retirement Income Security Act of 1974 if the investment decision is made by a plan fiduciary (bank, savings and loan association, insurance company, or registered investment adviser), or if the employee benefit plan has total assets in excess of $5,000,000 or, if a self-directed plan, with investment decisions made solely by persons that are accredited investors.
