Subscription Services Warranty. Marketo warrants the Subscription Services, under normal use, will (i) perform materially in accordance with the applicable documentation provided by Marketo; and (ii) be provided in a manner consistent with generally accepted industry standards.
Subscription Services Warranty. During the Subscription Period, Accela warrants that Subscription Services shall perform materially in accordance with the applicable Documentation. As Customer’s sole and exclusive remedy and Accela’s entire liability for any breach of the foregoing warranty, Accela will use commercially reasonable efforts to: (a) repair the Subscription Services in question; (b) replace the Subscription Services in question with those of substantially similar functionality; or (c), after making all commercially reasonable attempts to do the foregoing, terminate the applicable Subscription Services and refund all unused, prepaid fees paid by Customer for such non-compliant Subscription Services.
Subscription Services Warranty. OnSolve represents and warrants that the Subscription Services shall materially perform in accordance with the Documentation. For any material breach of a warranty, Customer’s exclusive remedy shall be as provided by Section 9.2 (Termination for Material Breach).
Subscription Services Warranty. AZCERT warrants the Subscription Services, under normal use, will (i) perform materially in accordance with the applicable documentation provided by AZCERT; and (ii) be provided in a manner consistent with generally accepted industry standards.
Subscription Services Warranty. Grazitti warrants the Subscription Services, under normal use, will (i) perform materially in accordance with the applicable documentation provided by Grazitti; and (ii) be provided in a manner consistent with generally accepted industry standards.
Subscription Services Warranty. Mindtickle warrants
(i) the Platform, under normal use, will perform materially in accordance with the Documentation provided by Mindtickle; and (ii) the Subscription Services will be provided in a manner consistent with generally accepted industry standards. “Documentation” means any help pages or other end user documentation provided by Mindtickle to describe the functionality of the Subscription Services or how to use the Subscription Services.
Subscription Services Warranty. MacStadium warrants that a) each SaaS Service will materially perform in accordance with the terms described in this Exhibit C, and b) MacStadium will not materially decrease the SaaS Service functionality described in the applicable Service Order or online order during the Service Term. Your remedy for a breach of this warranty shall be the correction by MacStadium of the deficiency that caused the breach of warranty. MacStadium shall correct within a reasonable time upon your notice to MacStadium of the deficiency within thirty (30) days of your discovery of the breach Notices may be made by submission of client support ticket to MacStadium’s management portal. If MacStadium is unable to correct the deficiency within a reasonable time, you may terminate the applicable SaaS Service upon thirty (30) days prior written notice to MacStadium and MacStadium will refund any pre-paid fees for such SaaS Service.
Subscription Services Warranty. Cofense warrants to Customer that during the applicable Subscription Term, the Subscription will be performed materially in accordance with the applicable Documentation, and in a professional manner with reasonable skill and care. Customer must promptly notify Cofense of any breach of this warranty, but in any event no later than thirty (30) days following the date this warranty was allegedly breached. The warranty set forth in this Section will not apply if (i) Customer has used the Subscription contrary to Cofense’s instructions as may be set forth in the applicable exhibit or Documentation, or (ii) the Subscription has been modified or altered by any party other than Cofense or Cofense’s duly authorized representatives. For any breach of Cofense’s warranty obligations set forth in this Section, Cofense will promptly correct the non-conformity, at Cofense’s expense. The preceding sentence states Customer’s sole remedy and Cofense’s entire liability for breach of warranty in this Section.
Subscription Services Warranty. ZeroFOX warrants to Customer that, during the Order Term: (a) the Subscription Services will perform and provide functionality substantially in accordance with the User Guide and (b) any changes to the Subscription Services pursuant to Section 11 or otherwise will not materially decrease the functionality of the Subscription Services as of the effective date of the applicable Order. ZeroFOX’s sole liability, and Customer’s sole and exclusive remedy, for any breach of the warranties under this Section 19 will be, in ZeroFOX’s sole discretion and at no charge to Customer: (i) to use commercially reasonable efforts to correct the alleged defect or otherwise repair, replace or provide a workaround for the non-conformity, or if ZeroFOX is unable to do so, (ii) to allow Customer to terminate the applicable Order(s), in which case ZeroFOX will issue a Pro-Rated Refund. The warranties under this Section 19 do not apply to the Availability of the Subscription Services, which shall be governed exclusively by the Business Services Addendum. In addition, the warranties under this Section 19 and Section 20 do not extend to the following (collectively, “Warranty Exceptions”): Outside Changes, Force Majeure Events (as discussed in Section 33), or any use of the Services other than in accordance with this Agreement and the User Guide, Acceptable Use Policy, Outside ToS and Order.
Subscription Services Warranty. Contractor warrants that: (i) the Subscription Services will function as described in the Contract; and (ii) Contractor owns or otherwise has the right to provide the Subscription Services to the State under this Contract.
