Subsidiary and Holding Company in relation to a company mean “subsidiary” and “holding company” as defined in section 1159 of the Companies Xxx 0000 and a company shall be treated, for the purposes only of the membership requirement contained in subsections 1159(1)(b) and (c), as a member of another company even if its shares in that other company are registered in the name of (a) another person (or its nominee), whether by way of security or in connection with the taking of security, or (b) a nominee.

Subsidiary and Holding Company. In this Agreement, the expression “subsidiary” and “holding company” shall have the same meanings as their respective definitions in the Companies Ordinance provided that any reference therein to a company shall be deemed to include a reference to a body corporate incorporated or established outside Hong Kong or under any other statutory provisions.

The Schedule(s) to this Agreement forms part of (and is incorporated into) this Agreement. Term of engagement The Company shall engage the Consultant and the Consultant shall provide the Services on the terms of this Agreement. The Consultant shall provide the Services to the Company from DATE and the Engagement shall continue unless and until terminated: as provided by the terms of this Agreement; or by either party giving to the other not less than a day’s prior written notice although on most occasions the Company would envisage a week’s notice eitherway.
