SUBSTITUTION OF PARTICIPANT. If the Participant cannot attend the Training Programme, a substitute may be appointed at any time. Requests for substitutions will only be accepted by e-mail to xxxxxx.xxxxxxx@xxxx.xxx The message must indicate the name and contact details of the cancelled Participant and the substitute. The substitute must be a person linked to the same organization or enterprise as the substituted Participant. The first substitution is free of charge. By requesting the substitution, the Customer remains to be bound by the Terms and Conditions, including the payment of the registration fee and any additional costs. In the case that a Participant is substituted more than once, or more than one Participant is substituted, an administrative charge of € 150 will be applied.
SUBSTITUTION OF PARTICIPANT. If (i) the obligation of any Participant to purchase or maintain its Participation Interest has been suspended pursuant to this Section 13, or (ii) any Participant has demanded compensation or given notice of its intention to demand compensation under Section 13.10, the Lessee shall have the right, with the assistance of the Agent, to seek one or more mutually satisfactory substitute banks or financial institutions (which may be one or more of the Participants) to replace such Participant under the Operative Documents.

SUBSTITUTION OF PARTICIPANT. If (i) the obligation of any Certificate Purchaser or Lender to make or maintain its investment in the Notes or Certificates on a LIBO Rate basis has been suspended pursuant to Section 2.10(b)(i), (ii) any Lender or Certificate Purchaser has demanded compensation under Section 7.4 or (iii) any Lender or Certificate Purchaser has made a claim for withholding Tax indemnification under Section 7.3, then, if no Lease Event of Default has occurred and is continuing, Lessee shall have the right, with or without the assistance of Agent or Certificate Trustee, but subject to Section 6.3 hereof, to seek a substitute financial institution or institutions satisfactory to Lessee (which may be one or more of the Participants) to purchase the Loans and/or Certificate Amount and assume the Commitment of such Participant (without recourse to or warranty by such Participant), and such Participant shall, promptly upon the identification by Lessee of such substitute financial institution or financial institutions, assign its Note and/or Certificate and all of its rights and obligations under the Operative Documents to such substitute financial institution or financial institutions, subject to Section 6.3 hereof.

If (i) the obligation of any Participant to make Loans or fund Certificate Purchaser Amounts has been suspended pursuant to this Section 13, or (ii) any Participant has demanded compensation or given notice of its intention to demand compensation under Section 13.11 with respect to Sections 13.6 (other than a demand relating to Fixed Rate Advances), 13.7, 13.8, 13.9 or 13.10, the Lessee shall have the right, with the assistance of the Indenture Trustee, to seek one or more mutually satisfactory substitute banks or financial institutions (which may be one or more of the Participants) to replace such Participant under the Operative Documents.
SUBSTITUTION OF PARTICIPANT. If (i) the obligation of any Participant to purchase or maintain its Participation Interest has been suspended pursuant to this Section 13, or (ii) any Participant has demanded compensation or given notice of its intention to demand compensation under Section 13.11 with respect to Sections 13.6 (other than a demand relating to Fixed Rate Advances), 13.7, 13.9 or 13.10, the Lessee shall have the right, with the assistance of the Agent, to seek one or more mutually satisfactory substitute banks or financial institutions (which may be one or more of the Participants) to replace such Participant under the Operative Documents."
(g) The Participation Agreement is further amended by deleting Exhibit B in its entirety and replacing it with Exhibit B-1 in the form attached hereto as Exhibit A.
(h) The Participation Agreement is further amended by adding a new Exhibit B-2 thereto in the form attached as Exhibit B.
(i) The Participation Agreement is further amended by (i) deleting in the Table of Contents and list of Exhibits references to the titles of Sections, Subsections and Exhibits deleted under this Amendment and (ii) replacing them with the titles of the Sections, Subsections and Exhibits added under this Amendment.
