Subtenant Representations. Subtenant represents and warrants to Sublandlord that: (a) Subtenant has reviewed and is familiar with all of the terms, agreements, covenants and conditions of the Master Lease and understands how such provisions pertain to the Sublease Premises and Subtenant’s use and occupation thereof under this Sublease; (b) Subtenant has the right and power to execute and deliver this Sublease and to perform its obligations hereunder; (c) the person or persons executing this Sublease for Subtenant are fully authorized to so act and no other action is required to bind Subtenant to this Sublease; and (d) Subtenant is duly organized and in good standing in its state of formation and is authorized to conduct business in the state where the Sublease Premises are located.

Subtenant Representations. Each person executing this Amendment on behalf of Subtenant represents and warrants to Master Landlord that: (a) Subtenant is properly formed and validly existing under the laws of the state in which Subtenant is formed and Subtenant is authorized to transact business in the state in which the Building is located; (b) Subtenant has full right and authority to enter into this Amendment and to perform all of Subtenant's obligations hereunder; and (c) each person (and both persons if more than one signs) signing this Amendment on behalf of Subtenant is duly and validly authorized to do so.
Subtenant Representations. Subtenant acknowledges that neither Tenant nor any partner, officer, director, employee, representative, contractor or agent of Tenant (collectively, “Tenant’s Related Parties”) nor any real estate broker or attorney employed by Xxxxxx has made, nor has Subtenant relied on, any representations, warranties, statements or agreements (express or implied) whatsoever with respect to the Lease or all or any part of the Building or the Subpremises other than those expressly set forth in this Sublease. Subtenant acknowledges that no rights, options, easements or licenses are being acquired by Subtenant by implication or otherwise except as expressly set forth in this Sublease. (b)

Subtenant represents and warrants ------------------------- that (a) it is a corporation duly organized and validly existing under the laws of the State of California, (b) it has full power and authority to execute and deliver this Sublease, and (c) each person executing this Sublease on behalf of Subtenant is authorized and empowered to do so.
Subtenant Representations. Subtenant represents and warrants it will comply with all applicable laws, regulations, and ordinances for commercial cannabis operations. Subtenant shall at all times maintain its Type S licensure and is solely responsible for any permitting or licensing fees for Subtenant’s licensure, costs for its employees or consultants, and other costs directly related to Subtenant’s local permit and state licensure, unless otherwise agreed in writing by the Parties.
Subtenant Representations. Subtenant represents and warrants to Sublandlord that (a) no Event of Default on the part of Subtenant exists under the Sublease, (b) to Subtenant's knowledge, Sublandlord is not in default in the performance of any of its obligations under the Sublease, and (c) Subtenant is unaware of any condition or circumstance which, with the giving of notice or the passage of time or both, would constitute a default by Sublandlord or an Event of Default by Subtenant under the Sublease. Subtenant further acknowledges that, as of the Effective Date of this Amendment, Subtenant has no defense, offset, lien, claim or counterclaim against Sublandlord under the Sublease or against the obligations of Subtenant under the Sublease (including, without limitation, any rentals or other charges due or to become due under the Sublease).
Subtenant Representations. Subtenant represents and warrants to Sublandlord that (i) Subtenant is a duly organized and validly existing corporation in good standing under the laws of the Commonwealth of Pennsylvania; (ii) Subtenant has the legal power, rights and authority to enter into this Sublease and to consummate the transactions contemplated hereby, and (iii) the individuals executing this Sublease on behalf of Subtenant have the power, right and authority to bind Subtenant; (iv) subject to obtaining the Master Landlord Consent and the Non-Disturbance Agreement, this Sublease will be valid and legally binding upon the Subtenant and enforceable in accordance with its terms and (v) there has not been filed by or against Subtenant a petition in bankruptcy, voluntary or otherwise, any assignment of for the benefit of creditors, any petition seeking reorganization or arrangement under the bankruptcy laws of the United States or any state thereof, or any other action brought pursuant to such bankruptcy laws with respect to the Subtenant.
