Supervisory Responsibilities. (a) SCHWAB shall be responsible for training, monitoring and controlling the activities of SCHWAB employees involved in the offer and sale of the Contracts. FIRST GREAT-WEST shall participate in, and shall bear responsibility with respect to, such training, monitoring, and control to the extent required by applicable NASD rules, SEC laws, state insurance laws, or other applicable laws.
