Suppliers and other Third Parties. You will ensure that you have appropriate agreements in place with third parties to enable IBM to perform the Services under the Agreement, where you are using or providing IBM with third party information, support or materials for a project including but not limited to where you are employing other suppliers whose work may affect IBM’s ability to provide the Services. Unless specifically agreed to otherwise in writing, you will be responsible for the management of the third parties and the quality of their input and work. Except to the extent IBM specifically agrees otherwise in the SOW, you will be solely responsible for any third party hardware, software or communications equipment used in connection with the Services.

Where xxxx is contracting with third parties to provide information or support to a project including but not limited to where xxxx is employing other suppliers whose work may affect Future Purchasing’s ability to provide the Services, Xxxx will ensure that it has appropriate agreements in place with those third parties to enable Future Purchasing to perform the Services under the terms of this contract. Unless specifically agreed otherwise in writing xxxx will be responsible for the management of the third parties and the quality of its input and work.

Where you are using third parties to provide information or support to a project including but not limited to where you are employing other suppliers whose work may affect our ability to provide the Services you will ensure that you have appropriate agreements in place with those third parties. Borrower is diligently conducting a program of investigation with Borrower's critical suppliers to ensure that such suppliers are, or become on a timely basis, Year 2000 Compliant in all material respects. Borrower includes in its new supplier agreements a provision relative to the relevant supplier's own status as, or program to become on a timely basis, Year 2000 Compliant in all material respects. Borrower also is diligently conducting discussions with other entities with which Borrower interacts electronically to ensure that such entities have appropriate plans to remediate Year 2000 Compliance issues where such entities' systems interface with Borrower's systems.

Where you are using or providing us with third party information, support or materials including but not limited to where you are employing other suppliers whose work may affect our ability to provide the Services, you will ensure that you have appropriate agreements (including, without limitation, software licences) in place with those third parties to enable us to perform the Services under the terms of this contract. Unless specifically agreed otherwise in writing you will be responsible for the management of the third parties and the quality of their input and work. Except to the extent we specifically agree otherwise in the Engagement Letter or Proposal, you are solely responsible for any third party hardware, software or communications equipment used in connection with the Services.
