For a period of 46 days from Closing, the Seller shall make the Key Personnel reasonably available to Buyer during the Seller’s business hours on reasonable advance notice to answer questions relating to the Purchased Assets and the Assumed Liabilities (the “Supporting Activities”); provided, that the Supporting Activities shall not unreasonably interfere with the business and operations of the Seller. Nothing in this Section 6.11 shall require Key Personnel or other personnel of the Seller or the Seller Group to travel in the performance of the Supporting Activities. To the extent any Key Person terminates his or her employment or engagement with the Seller Group prior to the date that is 46 days from Closing, the Seller shall use commercially reasonable efforts to identify another employee or independent contractor of the Seller Group who can assist with applicable Supporting Activities in a substantially similar manner as the Supporting Activities provided by such Key Person; provided, that nothing in this sentence shall require the Seller Group to hire or engage any new employee or independent contractor as a replacement for any such Key Person.
Supporting Activities. In the performance of its duties, COM will provide knowledgeable customer service personnel to help answer H&B Client or Dealer questions or help find solutions to problems and provide sales and marketing assistance to H&B Clients and Dealers within reasonable limits and not to exceed 2 hours per week and as assisted by H&B as required.

Wherever there is a conflict in the terms or conditions between this Amendment No. 6 and the Contract, including all previous amendments, the terms and conditions of this Amendment No. 6 shall prevail. In all other respects, the terms and conditions of the Contract, including all previous amendments, not specifically changed by this Amendment No. 6 remain in full force and effect.

Area (i): Future Piston Engine Technology The objective of the co-operative work in this area is the development of combustion technology, both analytical and experimental, which would provide improved models for advanced internal combustion piston engines, namely lean homogeneous charge, stratified charge, and diesel engines. The research will contribute primarily to technology common to these engine concepts and provide data bases and descriptive and predictive system codes.
