Survival of Certain Agreements. The covenants and agreements set forth in Articles 4 and 5, hereof and, to the extent applicable, the covenants and agreements set forth in Article 3 hereof, shall survive the expiration of the Engagement Period and shall survive termination of this Agreement and remain in full force and effect.
Survival of Certain Agreements. The covenants and agreements contained in Sections 5 and 8 of this Agreement shall be continuous and survive the termination of this Agreement and shall remain in full force and effect regardless of the cause of such termination.
Survival of Certain Agreements. The agreements and covenants set forth in (S) 6 hereof shall survive the termination of the Executive's employment under this Agreement for any reason.
Survival of Certain Agreements. Notwithstanding anything in this Agreement or implied by law to the contrary, the agreements of the Borrower set forth in Sections 3.6, 3.7, and 8.5 and the agreements of the Lender set forth in Section 8.3 shall survive the payment of the Loans and the Notes and the termination of this Agreement.
Survival of Certain Agreements. The covenants and agreements set forth in Sections 7-12, 14, and 18-21 shall survive termination of this Agreement and Consultant’s Services hereunder and remain in full force and effect regardless of the cause of such termination.
Survival of Certain Agreements. The members of the New News Corporation Group, on the one hand, and the members of the Remainco Group, on the other hand, hereby agree that all Intercompany Agreements (other than any agreements or arrangements that provide for Inter-Group Indebtedness) that are effective as of the Distribution will survive the Distribution.
Survival of Certain Agreements. All agreements contained in this Agreement which by their terms shall survive the Closing hereunder, including, without limitation, the agreements contained in Sections 4.1 through 4.6 and 5.2 hereof and this Section 5.12, shall survive the Closing for an indefinite period of time. Survival of Certain Agreements. The covenants and agreements set forth in paragraphs 5 and 6 shall survive the Consulting Period and remain in full force and effect regardless of such termination.
Survival of Certain Agreements. Notwithstanding the repayment of the Secured Obligations and the cancellation or transfer of the Loan Documents, or any foreclosure of, or sale under power contained in, this Mortgage, or the acquisition by Mortgagee of title to the Premises in lieu of foreclosure, or any other realization upon collateral securing the Secured Obligations, all agreements of Mortgagor contained herein or in any of the Secured Obligations to pay the costs and expenses of Mortgagee in connection therewith and all agreements of Mortgagor contained herein or in any of the other Loan Documents or any other instrument or agreement evidencing the Secured Obligations to indemnify and/or hold harmless Mortgagee shall continue in full force and effect so long as there exists any possibility of expense or liability on the part of Mortgagee.
Survival of Certain Agreements. The agreements set forth in Sections 15.10 through 15.14 of this Agreement shall survive the resignation of the Administrative Agent, the replacement of any Lender, the termination of the Aggregate Commitments, and the repayment, satisfaction, or discharge of all of the Obligations.
