Survival of Lessee’s Obligations Sample Clauses

Survival of Lessee’s Obligations. Except to the extent prohibited by Applicable Laws, no repossession of any or all of the Property or exercise of any remedy under this Lease, including termination of this Lease, shall, except as specifically provided herein, relieve Lessee of any of its liabilities and obligations hereunder, including the obligation to pay Rent. In addition, except as specifically provided herein, Lessee shall be liable for any and all unpaid Rent due hereunder before, after or during the exercise of any of the foregoing remedies, including all reasonable legal fees and other costs and expenses incurred by Lessor by reason of the occurrence of any Lease Event of Default or the exercise of Lessor’s remedies with respect thereto, and including all costs and expenses incurred in connection with the return of the Property in the manner and condition required by, and otherwise in accordance with the provisions of, Article 10 as if the Property were being returned at the end of the Lease Term. At any sale of any or all of the Property or any other rights pursuant to Section 17.1, Lessor or the Lender may bid for and purchase the Property.

Survival of Lessee’s Obligations. A. If this Lease is terminated by the Lessor in accordance with the provisions herein or if the Lessor re-enters or resumes possession of the Property as provided herein, all of Lessee’s obligations under this Lease shall survive the termination, re-entry or resumption of possession and remain in full force and effect for the full term of this Lease, and the amounts of damages or deficiencies will become due and payable to Lessor to the same extent, at the same times, and in the same manner as if no termination, re-entry or resumption of possession had taken place.
Survival of Lessee’s Obligations. The respective rights and obligations of Lessor and Lessee under this Article XII shall survive the expiration or termination of this Lease for a period of one (1) year.

In addition, the Lessee shall be liable, except as otherwise provided above, for any and all unpaid Rent due hereunder before, during or after the exercise of any of the foregoing remedies, including all reasonable legal fees and expenses and other costs and expenses incurred by the Lessor by reason of the occurrence of any Event of Default or the exercise of the Lessor's remedies with respect thereto, and including all costs and expenses incurred in connection with the return of the Facility in the manner and condition required by, and otherwise in accordance with the provisions of, Article VI hereof as if such Facility were being returned at the end of the Term.
Survival of Lessee’s Obligations. No repossession of any of the Property or exercise of any remedy under Section 19.2, including termination of this Lease, shall, except as specifically provided therein, relieve Lessee of any of its liabilities and obligations hereunder, including the obligation to pay Base Net Rent. In addition, except as specifically provided therein, Lessee shall be liable, except as otherwise provided above, for any and all unpaid Rent due hereunder before, after or during the exercise of any of the foregoing remedies, including all reasonable legal fees and other costs and expenses incurred by Lessor by reason of the occurrence of any Event of Default or the exercise of Lessor’s remedies with respect thereto, and including all costs and expenses incurred in connection with the return of the Property in the manner and condition required by, and otherwise in accordance with the provisions of, Article XIII as if such Property were being returned at the end of the Term.

At any sale of either or both Properties or any part thereof or any other rights pursuant to Section 18.2, Lessor or the Administrative Agent may bid for and purchase such property.

At any sale of the Equipment or any part thereof or any other rights pursuant to Section 18.1 hereof, the Lessor or the Agent on behalf of the Lenders may bid for and purchase such property.
Survival of Lessee’s Obligations. All monetary and other obligations of Lessee under this Lease which cannot be satisfied within the term of this Lease shall continue and survive the expiration of this Lease until fully satisfied and complete.
