Suspension by Customer. The Customer may by written notice direct the Contractor to suspend the carrying out of the whole or part of the installation of the Solutions for such time as the Customer thinks fit, if the Customer, acting reasonably, forms the opinion that it is necessary: (a) because of an act, default or omission of: (i) the Customer or its employees, contractors, agents or other contractors (not being employed by the Contractor); or (ii) the Contractor or a person authorised by the Contractor or the Contractor’s subcontractors, employees or agents. (b) for the protection or safety of any person or property; (c) to comply with a court order; (d) because suspension of work under a contract upon which the installation of the (e) the suspension is required by the Customer because of any changes in the nature, scope or timing of the services to be provided.

Suspension by Customer. Customer may direct Authority to suspend Work at any Customer Facility by written notice to Authority. Authority, and the Service Providers and Subproviders, will thereupon cease Work at that Facility as soon as practicable.
Suspension by Customer. The Customer may direct the ESCO to suspend the carrying out of the whole or part of the installation of the EPC Solutions for such time as the Customer thinks fit, if the Customer, acting reasonably, forms the opinion that it is necessary: (a) because of an act, default or omission of: (i) the Customer or its employees, contractors, agents or other contractors (not being employed by the ESCO); or (ii) the ESCO or a person authorised by the ESCO or the ESCO’s subcontractors, employees or agents. (b) for the protection or safety of any person or property; (c) to comply with a court order; or (d) because suspension of work under a contract upon which the installation of the EPC Solutions depends, prevents the carrying out of the installation of the EPC Solutions.
Suspension by Customer. Should the Customer suspend its contract with the Contractor or any part which includes the Subcontractor’s Work, the Contractor shall so notify the Subcontractor in writing and upon written notification the Subcontractor shall immediately suspend the Subcontractor’s Work. In the event of such Customer suspension, the Contractor’s liability to the Subcontractor is limited to the extent of the Contractor’s recovery on the Subcontractor’s behalf under the Contract Documents. The Contractor agrees to cooperate with the Subcontractor, at the Subcontractor’s expense, in the prosecution of any Subcontractor claim arising out of an Customer suspension and to permit the Subcontractor to prosecute said claim, in the name of the Contractor, for the use and benefit of the Subcontractor.
Suspension by Customer. (i) Without limiting any of its termination rights above, Customer may, at its sole option and upon written notice to Supplier, suspend Supplier's status as an approved Supplier to Customer for a period of twelve (12) months ("Suspension Period") in the event that Supplier commits more than two (2) breaches of any of the terms of this Agreement (other than a breach of the confidentiality obligations in Section 11) during any rolling six (6) month period, regardless of whether or not Supplier has cured such breaches to Customer's reasonable satisfaction. During any Suspension Period, Supplier may not bid on any new services or projects (including, without limitation, any extensions of current services or projects) for the Customer. (ii) Supplier acknowledges and agrees that its compliance with the confidentiality obligations set forth in Section 11 is critical to Customer and is a requirement for maintaining its status as an approved supplier for the Customer. Without limiting any of its remedies set forth in this Agreement or otherwise available to it in law or equity, Customer may, at its sole option and upon written notice to Supplier, suspend Supplier's status as an approved Supplier for Customer for a period of six (6) months in the event that Supplier commits any breach of Section 11, regardless of whether or not Supplier subsequently cures such breach to Customer's reasonable satisfaction. During such six (6) month period, Supplier may not bid on or undertake any new services or projects (including, without limitation, any extensions of current services or projects) for the Customer.

  • Indemnification by Customer Customer shall indemnify, defend and hold harmless MSIL and its affiliates from and against any loss, liability, damage, cost or expense (including attorneys' and accountants' fees and expenses incurred in the defense of any demands, claims or lawsuits) actually and reasonably incurred arising from any act, omission, conduct, or activity undertaken by MSIL on behalf of Customer, including, without limitation, any demands, claims or lawsuits initiated by a limited partner (or assignee thereof); provided that (i) MSIL has determined, in good faith, that the act, omission, conduct, or activity giving rise to the claim for indemnification was in the best interests of the Customer, and (ii) the act, omission, conduct or activity that was the basis for such loss, liability, damage, cost or expense was not the result of misconduct or negligence. Notwithstanding the foregoing, no indemnification of MSIL or its affiliates by Customer shall be permitted for any losses, liabilities or expenses arising from or out of any alleged violation of federal or state securities laws unless (i) there has been a successful adjudication on the merits of each count involving alleged securities law violations as to the particular indemnitee, or (ii) such claims have been dismissed with prejudice on the merits by a court of competent jurisdiction as to the particular indemnitee, or (iii) a court of competent jurisdiction approves a settlement of the claims against the particular indemnitee and finds that indemnification of the settlement and related costs should be made, provided with regard to such court approval, the indemnitee must apprise the court of the position of the SEC and the positions of the respective securities administrators of Massachusetts, Missouri, Tennessee and/or those other states and jurisdictions in which the plaintiffs claim that they were offered or sold Units, with respect to indemnification for securities laws violations before seeking court approval for indemnification. Furthermore, in any action or proceeding brought by a limited partner in the right of Customer to which MSIL or any affiliate thereof is a party defendant, any such person shall be indemnified only to the extent and subject to the conditions specified in the Delaware Revised Uniform Limited Partnership Act, as amended, and this Section 2. The Customer shall make advances to MSIL or its affiliates hereunder only if: (i) the demand, claim lawsuit or legal action relates to the performance of duties or services by such persons to Customer; (ii) such demand, claim lawsuit or legal action is not initiated by a limited partner; and (iii) such advances are repaid, with interest at the legal rate under Delaware law, if the person receiving such advance is ultimately found not to be entitled to indemnification hereunder.

  • Termination by CAISO Subject to Section 5.2, the CAISO may terminate this Agreement by giving written notice of termination in the event that the Participating Load commits any material default under this Agreement and/or the CAISO Tariff which, if capable of being remedied, is not remedied within thirty (30) days after the CAISO has given, to the Participating Load, written notice of the default, unless excused by reason of Uncontrollable Forces in accordance with Article X of this Agreement. With respect to any notice of termination given pursuant to this Section, the CAISO must file a timely notice of termination with FERC, if this Agreement was filed with FERC, or must otherwise comply with the requirements of FERC Order No. 2001 and related FERC orders. The filing of the notice of termination by the CAISO with FERC will be considered timely if: (1) the filing of the notice of termination is made after the preconditions for termination have been met, and the CAISO files the notice of termination within sixty (60) days after issuance of the notice of default; or (2) the CAISO files the notice of termination in accordance with the requirements of FERC Order No. 2001. This Agreement shall terminate upon acceptance by FERC of such a notice of termination, if filed with FERC, or thirty (30) days after the date of the CAISO’s notice of default, if terminated in accordance with the requirements of FERC Order No. 2001 and related FERC orders.

  • Termination by Client Without prejudice to any rights or remedies of the Client, the Client may, by at least seven (7) days’ notice in writing to Deswik, terminate this Agreement if: (a) Deswik breaches its obligations under this Agreement and: (i) the breach is not capable of remedy; (ii) if capable of remedy, the breach is not remedied within 30 days of receipt of written notice by Deswik requiring the breach to be remedied; or (b) an Insolvency Event occurs in respect to Deswik.

However, if in the case of a partial termination, the Grantee determines that the remaining portion of the award will not accomplish the purpose for which the award was made, the Grantee may terminate the award in its entirety.
