Suspension of Customer Account. If an End User or Customer violates this Agreement, including the provisions of the Terms of Service, or uses the Services in a manner which Xxxxx Server , in its sole discretion, reasonably believes will cause it to incur liability, then Xxxxx Server may (a) immediately suspend the Customer’s use of the Services as a whole, or the use of the Services by a specific End User or End Users, or (b) at Xxxxx Server’s discretion, notify Customer of the violation, and offer Customer the opportunity to cure the violation within a reasonable period of time before suspending the Customer’s use of the Services, or the use of the Services by a specific End User. For the avoidance of doubt, “reasonable period of time” shall be made on a case-by-case basis at the sole discretion of Xxxxx Server. Further, in the event of aSecurity Emergency”, Xxxxx Server will immediately suspend the Customer’s use of the Services, until the Security Emergency has been resolved to the satisfaction of Xxxxx Server. Suspension of Customer Account. If Customer's account is 30 days or more overdue (except with respect to charges then under reasonable and good faith dispute), in addition to any of its other rights or remedies, IBM reserves the right to suspend the IBM SaaS provided to Customer, without liability to Customer, until such amounts are paid in full; provided, however, that no suspension will take effect unless IBM has given Customer at least 10 business days prior written notice that its account is overdue.
