Sweep Service. At the close of each Business Day, we will determine the Available Balance in each Account and effect a sweep transaction as follows: (a) If the Available Balance in the Account exceeds the Account’s Paydown Target Amount, we will sweep the amount in excess of the Paydown Target Amount out of the Account to the Fund. We will transfer the excess amount from the Account to the Omnibus Deposit Account that same Business Day and use the funds in the Omnibus Deposit Account to purchase Shares of the Fund on your behalf on the next Business Day. If for any reason the Fund you designate is unavailable, we will notify you and will not purchase Shares until you designate another Fund. Dividends on Shares are accrued daily and paid monthly by the Fund. Dividends on your Shares which we receive on your behalf from the Fund will be We’re here to help. credited to the Account. Share transactions will be reported in your regular monthly statement for the Account and will be deemed final and conclusive unless you object in writing within thirty (30) days after receipt. (b) If the Available Balance in the Account is less than zero, we will cause Shares to be redeemed on your behalf in an amount sufficient to restore the Available Balance in the Account to zero and the proceeds of the redemption will be swept back to the Account. We will use reasonable efforts to restore the balance in the Account to zero by provisionally crediting the Account that Business Day and redeeming the requisite available Shares of the Fund on the next Business Day.

If the Available Balance in the Account exceeds the Account’s Paydown Target Amount and there is no outstanding loan balance under the Loan Facility, any Available Balance in the Account in excess of the Paydown Target Amount will remain in the Account. (b) If the Available Balance in the Account is less than zero, we will draw loans under the Loan Facility on your behalf in an amount sufficient to restore the Available Balance in the Account to zero in increments permitted by the Loan Facility. If the amount available under the Loan Facility is not sufficient to restore the Available Balance in the Account to zero, we may, in our discretion, draw loans under the Loan Facility on your behalf in the maximum amount available under the terms of the Loan Facility, or we may not draw any loans under the Loan Facility. All loans drawn from the Loan Facility under this Service may be subject to a minimum amount as we may establish from time to time (or as may be required by the Loan Facility), and are subject to the terms and conditions of the agreements governing the Loan Facility. You understand that the lender (i.e., us or our affiliates, as applicable) may, subject to the terms of the Loan Facility, at any time, elect not to make any advance to you, or terminate the Loan Facility. In the event of such suspension or termination of the Loan Facility and our ability to otherwise obtain automated loan advances, we may suspend or terminate the Service immediately and you are responsible for promptly transferring immediately available funds to the Account to pay any overdraft in the Account. Nothing contained in this Service Description obligates us or any of our affiliates to extend credit to you to cover a deficiency in the Account. You shall at all times remain responsible for monitoring the balance in the Account and under the Loan Facility.
Sweep Service. The Sweep Service allows you to establish automatic transfers between a master or parent deposit account and one or more designated child accounts in order to maintain a specified balance or balance range in each child account. Once established, funds will be transferred from the master account to the child accounts when the balances in the child accounts falls below the balance threshold or range that you specify, or funds will be transferred from the child accounts to the master account when the balances in the child accounts exceeds the threshold or range. The Sweep Service can also be used to designate one or more child accounts as zero-balance sweep accounts. The Sweep Service is governed by a separate Sweep Agreement that includes an application form you must use to designate master accounts, child accounts, and the sweeps you wish to establish.

  • EPP service availability Refers to the ability of the TLD EPP servers as a group, to respond to commands from the Registry accredited Registrars, who already have credentials to the servers. The response shall include appropriate data from the Registry System. An EPP command with “EPP command RTT” 5 times higher than the corresponding SLR will be considered as unanswered. If 51% or more of the EPP testing probes see the EPP service as unavailable during a given time, the EPP service will be considered unavailable.

  • DNS service availability Refers to the ability of the group of listed-­‐as-­‐authoritative name servers of a particular domain name (e.g., a TLD), to answer DNS queries from DNS probes. For the service to be considered available at a particular moment, at least, two of the delegated name servers registered in the DNS must have successful results from “DNS tests” to each of their public-­‐DNS registered “IP addresses” to which the name server resolves. If 51% or more of the DNS testing probes see the service as unavailable during a given time, the DNS service will be considered unavailable.

  • Service Availability You understand that Service availability is at all times conditioned upon the corresponding operation and availability of the communication systems used in communicating your instructions and requests to the Credit Union. We will not be liable or have any responsibility of any kind for any loss or damage thereby incurred by you in the event of any failure or interruption of such communication systems or services resulting from the act or omission of any third party, or from any other cause not reasonably within the control of the Credit Union.

  • CLOUD SERVICE The Cloud Service offering, is described below and is specified in an Order Document for the selected entitled offerings. The Order Document will consist of the Quotation that is provided and the Proof of Entitlement (XxX) you will receive confirming the start date and term of the Cloud Services and when invoicing will commence.

  • Electrical Service Electrical service for new construction or a renovated existing building shall be 480/277-volt, 3-phase, 4-wire or approved equal. Service shall be sized for HVAC and other mechanical system(s) loads, lighting, general building services, and dedicated computer based office equipment loads. 5 xxxxx per square foot shall be provided for lighting and general service receptacles. Size of neutral conductor of 3- phase circuits shall be twice that of phase conductor to accommodate potential harmonic currents associated with computer system electronic power supplies and fluorescent lighting fixtures electronic ballasts.

  • Interconnection Service Interconnection Service allows the Interconnection Customer to connect the Large Generating Facility to the Participating TO’s Transmission System and be eligible to deliver the Large Generating Facility’s output using the available capacity of the CAISO Controlled Grid. To the extent the Interconnection Customer wants to receive Interconnection Service, the Participating TO shall construct facilities identified in Appendices A and C that the Participating TO is responsible to construct.

  • Our Service The services that you have selected and the charges for those services are confirmed in Section 9 - Your Consent at the end of this agreement. We agree to provide the services selected and you agree to pay us for those services. Any advice or recommendation that we offer to you, will only be given after we have assessed your needs and considered your financial objectives and attitude to any risks that may be involved. We will also take into account any restrictions that you wish to place on the type of products you would be willing to consider.

  • EXTENDED SERVICE 156 Upon application, a military leave of absence (without pay) will be granted to employees who are employed in other than temporary positions. This applies to employees who are inducted through a selective service system or voluntary enlistment, or if the employee is called through membership in the National Guard or reserve component into the Armed Forces of the United States.

  • Transit Service is the delivery of certain traffic between Carrier and a third party ILEC, CLEC or CMRS provider by Frontier over a separate trunk group between Carrier and Frontier where appropriate trunks exist between Carrier and third party through Frontier’s tandem. The following traffic types will be delivered: (I) Local Traffic originated from Carrier to such third-party and (ii) Local Traffic originated from such third-party to Frontier’s tandem and terminated to Carrier.

  • Elevator Service If the Building is equipped with elevators, Landlord, during Normal Business Hours of Building, shall furnish elevator service to Tenant to be used in common with others. At least one elevator shall remain in service during all other hours. Landlord may designate a specific elevator for use as a service elevator.
