Tax and Legal Advice. HTS cannot offer or issue tax or legal advice to you or your Financial Advisor. Where specific tax or legal advice is necessary or prudent, HTS recommends that you consult with your own tax or legal counsel.

Tax and Legal Advice. Executive has had an opportunity to consult with his legal counsel and tax and other advisors regarding the preparation of and the contents contained in this Agreement.

You represent, warrant and acknowledge that the Company has made no warranties or representations to you with respect to any applicable tax or legal consequences of the transactions contemplated by this Agreement and you are in no manner relying on the Company or the Company’s representatives for an assessment of such tax or legal consequences. YOU UNDERSTAND THAT THE TAX AND OTHER LAWS AND REGULATIONS ARE SUBJECT TO CHANGE. YOU SHOULD CONSULT YOUR OWN TAX OR LEGAL ADVISOR REGARDING THIS AGREEMENT, THIS STOCK PURCHASE RIGHT AND SHARES TO BE ISSUED PURSUANT TO THIS STOCK PURCHASE RIGHT. YOU UNDERSTAND THAT THE COMPANY IS NOT PROVIDING ANY TAX OR LEGAL ADVICE, NOR IS THE COMPANY MAKING ANY RECOMMENDATION REGARDING YOUR ACCEPTANCE OF THIS GRANT. NOTHING STATED HEREIN IS INTENDED OR WRITTEN TO BE USED, AND CANNOT BE USED, FOR THE PURPOSE OF AVOIDING TAXPAYER PENALTIES.
Tax and Legal Advice. The Holder is not relying on nor has relied on the Company or any of the Company’s officers, directors, managers, equity holders, representatives, agents or advisers (including, without limitation, Nxxxxx Xxxxxxx Xxxxx and Sxxxxxxxxxx LLP, legal counsel for the Company), for any advice, including, without limitation, any financial, tax or legal advice in connection with the transactions contemplated by this Note. The Holder has had an opportunity to consult with its legal counsel and tax and other advisers regarding the purchase of the Note. The Holder shall be responsible for any and all taxes, duties and other similar charges payable in connection with the issuance of the Note, and hereby agrees to indemnify the Company and its successors and assigns with respect to same.

The Participant acknowledges that he or she has had the opportunity to seek the advice of counsel and other personal advisers, and that the Company has provided no advice to, or made any warranties or representations with respect to, the tax consequences of the transactions contemplated by this Grant Agreement or the economic or other impacts to the Participant of the arrangements contemplated hereby. The Participant is in no respect relying on the Company or its representatives for an assessment of such tax, legal, economic or other consequences.
Tax and Legal Advice. The Executive has had the opportunity to seek the advice of counsel and other personal advisors and acknowledges that the Company has provided no advice or made any warranties or representations to the Executive with respect to the income tax consequences of the transactions contemplated by this Agreement or the economic or other impacts to Executive of the arrangements contemplated hereby. The Executive is in no manner relying on the Company or its representatives for an assessment of such tax, legal, economic or other consequences.
Tax and Legal Advice. Professor acknowledges that they have not been provided legal or tax advice by the University and that they have been advised that they should seek tax and/or legal advice before entering into this agreement.
