Technical Input. Questions, comments, or other technical communication between ADLT and FIBERSTARS may be via facsimile, telephone, e-mail, or mail, or such other mutually acceptable form of communication. ADLT shall designate a person to respond to information requests from FIBERSTARS, and such person shall respond promptly to FIBERSTARS.

Technical Input. As long as Xxxxxx is a “Person Performing Response Actions with Respect to the Groundwater in the Restricted Zone,” as defined in the Ordinance, Abbott agrees to perform, or have its designated representative perform, the following activities with respect to the Ordinance: • Coordinate with any new Well Applicant for the installation and hookup of a new Well, pursuant to Section I, Paragraph B of the Program; • Pay the additional cost to install a new Well to the minimum depth specified in Section I, Paragraph C of the Program, provided the Applicant agrees to use the Michigan-licensed water well drilling contractor recommended by Abbott. The selected well drilling contractor shall xxxx Xxxxxx directly for the additional costs associated with installing the new Well to the minimum depths specified in Section I, Paragraph C of the Program; • Supervise the installation of new Xxxxx to assure their proper installation; • Sample new Xxxxx per Community Health Agency regulations and the constituents being monitored by Abbott pursuant to the LTIRA Plan; • Supply alternative drinking water to properties as required under Section II, Paragraph B of the Program; • Properly abandon existing Xxxxx if required pursuant to Section II, Paragraph C of the Program; • Install new Xxxxx if required pursuant to Section II Paragraph C of the Program; • Consult with the Township and the Community Health Agency, as defined in the Program, to provide technical and other assistance in connection with the Program and with the Township’s enforcement of the Ordinance; • Cooperate with the MDEQ and the Township to promptly consider revisions to the Ordinance if requested by the MDEQ or requested by Abbott in conjunction with compliance with the LTIRA Plan or related response actions with respect to the groundwater in the Restricted Zone.

  • Manufacturing Technology Transfer With respect to each Technology Transfer Product, upon AbbVie’s written request after the Inclusion Date for the Included Target to which such Technology Transfer Product is Directed, Morphic shall effect a full transfer to AbbVie or its designee (which designee may be an Affiliate or a Third Party manufacturer) of all Morphic Know-How and Joint Know-How relating to the then-current process for the Manufacture of such Technology Transfer Product (the “Manufacturing Process”) and to implement the Manufacturing Process at facilities designated by AbbVie (such transfer and implementation, as more fully described in this Section 5.3, the “Manufacturing Technology Transfer”). To assist with the Manufacturing Technology Transfer, Morphic will make its personnel reasonably available to AbbVie during normal business hours for up to [***] FTE hours with respect to each Included Target (in each case, free of charge to AbbVie) to transfer and implement the Manufacturing Process under this Section 5.3. Thereafter, if requested by AbbVie, Morphic shall continue to perform such obligations; provided, that AbbVie will reimburse Morphic for its full-time equivalent (FTE) costs (for clarity, in excess of [***] FTE hours) and any reasonable and verifiable out-of-pocket costs incurred in providing such assistance.
