Telemarketing Requirements. A. To ensure compliance with, and the quality of performance under, this Agreement, Citi (or its designated agent) may at any time monitor and record telephone conversations between Provider and Cardmembers including Participating Cardmembers. Provider shall obtain written consent to such monitoring and recording from each individual who provides telemarketing Services in connection with Programs and shall ensure that a notice is given at the start of each telephone conversation that the conversation may be monitored and recorded. Telemarketing Requirements. VENDOR represents and warrants that its telemarketing activities in connection with the VENDOR Calls shall comply with Applicable Law, including all telemarketing-related laws, rules and regulations including, without limitation, applicable Mobile Marketing Association (“MMA”) guidelines, Cellular Telecommunications Industry Association (“CTIA”) guidelines, the rules, terms, conditions and policies of all participating mobile telephone carriers, as well as all terms of the “Operation Stop Scam Calls” stipulated orders announced by the Federal Trade Commission on July 18, 2023, the TCPA, the ATSR, laws governing the the National Do-Not-Call Registry, Connecticut’s SB1058, the Florida Telemarketing Act and Florida Do Not Call Act, Maryland’s Stop the Spam Calls Act of 2023, the Oklahoma Telemarketer Restriction Act, the Washington Telemarketing Law HB1497, and analogous state laws, as well as rules applicable to maintenance and use of operable opt-out systems, call abandonment, in-call rebuttal rules and time-of-day/day of week/holiday call restrictions (collectively, “Telemarketing Laws”); provided, that, without limiting the foregoing, VENDOR: (i) shall not, under any circumstances, conduct any telemarketing activities that involve outbound pre-recorded calls, artificial voice calls, ringless voicemails and/or the use of “soundboard” technology; and (ii) shall ensure that all outbound calls are made between the hours of 9:00am and 8:00pm local time, during weekdays and not on weekends and/or any federal holiday(s). VENDOR may not block or transmit misleading caller identification information. With respect to residents of the states of Florida and Oklahoma, VENDOR shall not make more than three (3) commercial solicitations via telephone or text to the same person during any twenty-four (24) hour period regarding products and/or services in the same general business vertical, the same general subject matter or similar issue.
