TERMI NATI ON. A) In the event the Licensee fails or neglects or is unable to pay to Licensor the License Fees payable under clause 3 of this Agreement and/ or amendm ent agreem ent/ s ( if any) (“ amount in arrear”) or commits a breach of any of the terms of this Agreem ent and/ or am endm ent agreem ent/ s, if any, willfully or otherwise, then Licensor m ay give a notice in writing to the Licensee to pay up the amount in arrears or remedy the breach and if the Licensee fails to do so within a period of ____ days from the date of service of such notice, Licensor m ay terminate the Agreem ent imm ediately. In the event Licensor gives notice in writing to the Licensee to pay up the am ount in arrears and or to rectify the breach and the Licensee pays up the am ount in arrears and rectifies the breach the parties hereto shall carry on with their respective rights and obligation as if there was no such breach. However if the Licensee fails to pay up the am ount in arrears for the second t im e ( which need not be necessarily be for the xxx e m onth) in a year or com m its any breach which was com m it xxx earlier for which notice has been given, Licensor m ay terminate this agreem ent without issuing any further notice to the Licensee. However, such termination as specified in this sub- clause shall not lim it other rights that the Licensor may have under Agreement under any law in force or under equity. B) This Agreem ent shall stand term inated autom atically in the event of: i) After the expiry of period of ____months from the date of signing of this Agreement or on receipt of ___m onths termination notice from either party after a lock in period of ____months from the date of signing of this Agreem ent or, ii) Licensee being ordered to be wound up ( except any winding up in course of am algam ation or merger) or, iii) Provisional liquidator or receiver being appointed in respect of all the assets of the Licensee or, iv) I f Licensee enters into liquidation whether com pulsorily or voluntarily ( otherwise than for the purpose of am algam ation or reconstruction) or com pound with their creditors or take or suffer any similar action in consequence of debt or, v) Licensee becoming insolvent or, C) Upon term ination or determ ination of this Agreem ent for whatever reason: 1. TERMI NATI ON. Owner shall have the right to terminate this Agreement as follows: .1 Owner may terminate this Agreement if Contractor violates or breaches any of the terms, conditions or covenants hereof and does not remedy such violation or breach within ten (10) days after written notice by Owner to Contractor of such violation or breach. Upon the effective date of termination, Contractor will be paid for Work satisfactorily completed, subject to Owner’s rights to any offsets or damages. .2 Owner may terminate this Agreement in whole or in part solely for Owner’s convenience upon written notice to the Contractor (“Convenience Not ice ”), without regard to any fault or failure to perform by Contractor or any other party. In the event of a termination for convenience, Contractor shall be paid for all Work satisfactorily performed up to the date of such Convenience Notice, plus an additional amount for reasonable, unavoidable and direct costs of demobilization for a maximum of ten (10) days following receipt of the Convenience Notice. .3 Owner shall have no liability to Contractor for compensation, expenses, additional fees or anticipated profits for unperformed Work, lost business opportunities, impaired bonding capacity, or any overhead or general conditions costs attributable to a termination by Owner, except as provided in Paragraphs 20.1 and 20.2 hereof. All amounts payable by Owner shall be subject to Owner’s right of audit and offset.
