Termination By Service Company. Service Company shall have the right, but not the obligation, to terminate this Agreement immediately (after giving effect to the thirty (30) day grace period below) upon notice to Company of the Company’s failure to pay the Management Fee in a timely fashion or to agree to reasonable annual budgets for Management Fees; provided that the Service Company provides the Company with thirty (30) days written notice of such breach, during which period of time the Company shall have the opportunity to cure such breach; provided, further, that if such breach is cured by the Company during such period of time it shall be as if such breach never occurred and this Agreement shall continue in full force and effect (such termination event being deemed for “Good Cause”).
