Termination for Fault of the Contractor lf the Contra ctor fails to carry aut any material obligation under this Contract or repeatedly fails to carry aut any obligation under this Contract, the Customer may by written notice require the Contractor to cure the failure and to remedy it within a specified reasonable time. ln case the Contrador has not remedied such failure(s) within the specified reasonable time, the Customer may issue a termination for fault notice to the Contrador. Upon receipt of such notice by the Contractor, the termination shall become effective and the Contractor shall perform actions only for liquidation of the terminated part, both in its workshops and in those of its Subcontractors and Suppliers. The Contrador shall be responsible to immediately inform its Subcontractors and Suppliers thereof of such. Following termination, in case the Customer implements a tendering process as per -Best Practices for the selection of alternative contractor(s} the performance of the Work, -may implement its sublicensing rights as per Appendix 1 lntellectual Property Right, to enable the incumbent contractor(s) to use and to modify any product, application or result of the Work performed by the Contrador before its effective date of termination. This termination for fault does not apply for failure of the Contractor due to circumstances due outside of the Contractor's control.
