Termination Prior to Commencement of Installation. In addition to the mutual conditions precedent set forth in Section 11, Seller may in its sole discretion terminate this Agreement by written notice to Purchaser delivered prior to the Commencement of Installation in the event that, through no fault or inaction of Seller (a) Seller is unable to procure suitable financing for the installation of the System or other project financing, (b) Seller is unable to obtain any material permit, license, and other approval required for the installation and operation of the System, or any third party imposes unforeseen material adverse installation or operational requirements, (c) Seller is unable to obtain a natural gas supply or, if applicable, interconnection, for the System or (d) Seller is unable to obtain from any Person other than the City of Xxxxxxxx any material property right necessary to construct, operate, and maintain the System. If Seller terminates this Agreement pursuant to this Section 6.3.1, Seller shall pay Purchaser [ ] dollars ($[ ]) as liquidated damages (but not a penalty) and upon such payment, the Parties will be released from all obligations and liability under this Agreement.

  • Notice to Proceed - Site Improvements The Recipient shall not commence, or cause to be commenced, any site improvements or other work on the Land until the Director has issued a Notice to Proceed to the Recipient. Such Notice to Proceed will not be issued until the Director is assured that the Recipient has complied with all requirements for the approval of a grant under Revised Code Sections 164.20 through 164.27 and has completed any land acquisition required by the Project. A Notice to Proceed shall be required for all Project prime contractors or direct procurement initiated by the Recipient following execution of this Agreement.
