Terms of Sale and Payment. 1.4 By advertising our Packages, we are inviting you to place an Order. If you place an Order, we are not obliged to accept that Order. If we choose to accept an Order, we will process the Order and the Payment and will issue you a Booking Confirmation. Processing by us of your Order and Payment will create a legally binding contract between you and Sodexo which is subject to these Terms ("Contract").

Terms of Sale and Payment. (a) Great Spirits shall provide Supplier with annual forecasts of requirements reflecting anticipated needs of Products by Case and type of bottle, such forecasts to be delivered to Supplier on or before the last day of February commencing with 2002. Great Spirits shall be obligated to order the aggregate amounts set forth in each such forecast within the year of such forecast. Payment shall be made as provided in (b) below.
Terms of Sale and Payment. Distributor shall pay Company for the products and services sold to Distributor by a 25% down payment upon ordering and the remaining 75% balance Net 30 days from Invoice. The Company shall extend these payment terms for orders up to a limit of $US 25,000; provided, however, that if at any time in Company's opinion the financial condition of Distributor so warrants, Company may alter or suspend any credit terms granted. For orders above the $US 25,000 limit, the terms of payment shall be cash with order, C.O.D. or as otherwise determined by the Company. Company further reserves the right to assess an interest penalty on past due accounts of 1.5% per month on any outstanding balances, including reasonable attorneys fees incurred in collection of said past due accounts.

Terms of Sale and Payment. (a) All sales of the Products by Supplier to Importer shall be on an FOB Heaven Hill basis at the prices set in accordance with Schedule A, and as amended hereafter from time to time pursuant to Section 4(b) below. Payment shall be made in Bermuda to a bank designated by Supplier and shall be due sixty (60) days from the date of the xxxx of lading. Because Supplier will be funding marketing programs in the Territory with the aforementioned receivables, time shall be of the essence for receipt of payments sixty (60) days from the date of bills of lading. (b) All carriers engaged to ship the Products within the Territory for Importer (or any distributor designated by Importer in the Territory) shall be the agents of Importer. The risk of loss thereon shall pass immediately to Importer upon delivery of the Products from Heaven Hill (the "Bottler") to such carrier for shipment within the Territory. Importer shall have the right to determine the point of destination in the Territory and the method of shipment of the Products. (c) It is the intention of this agreement that Importer will receive a net margin amount as set forth in the following table (the "Net Margin"). Importer will also be entitled to reimbursement for Control State (18 states plus Xxxxxxxxxx County) brokers' commissions as approved by Supplier, any mutually agreed salaries, warehousing, insurance and other costs of distribution, such that Importer is able to net the agreed Net Margin, but not amounts above or below the agreed Net Margin. The reimbursements shall not include the normal salaries, travel and entertainment and other overhead costs of the Importer, except with respect to certain mutually agreed personnel that will be hired and directed by Importer but will follow the strategic marketing plan prepared by the Supplier's U.S. marketing affiliate ("Supplier Sales Personnel"). Terms of Sale and Payment. (1) Lonati shall sell the products to Xxxxxxxx at such prices and on such terms and conditions as shall be established by Lonati and in effect on the date Speizman's order is accepted. Prices shall be subject to change by Lonati at any time and without notice. All prices quoted by Lonati to Xxxxxxxx shall be a net price EXW (Ex Works) Lonati's manufacturing facility in Brescia, Italy (per INCOTERMS 1990) and crated for sea shipment, unless otherwise designated by Lonati. Special packing or handling, other than in accordance with Lonati's standard commercial export practices in effect at the time of shipment, shall be at the sole expense of Xxxxxxxx.

Terms of Sale and Payment. (a) During the Term, the Representative shall receive a commission of ten per cent (10%) of the then current published list price of each Product, less shipping costs. The Company shall furnish any revised price list to the Representative with a 30 day advanced notice of price increases. The list price shall be adjusted from time to time at the discretion of the Company.
Terms of Sale and Payment. (a) C&C agrees to supply to JN as many carats of moissanite jewels as JN may require, using the pricing set forth in Schedule 5(a), or, according to the general pricing policy of C&C's price level in effect for customers of like volume. This pricing is subject to change at the sole discretion of C&C upon 90 days written notice. C&C shall not be obligated to supply more carats of moissanite jewels than is commercially practical to C&C, however, C&C will use its best efforts to supply the quantity of carats JN requests. The moissanite jewels will be cut in available shapes per C&C's standard production practices. The grade of the moissanite jewels will be "Very Good" which includes possible slight color saturations. There will be no inclusions that are visible to the naked eye sold in this grade.
